    CAC delisted over 400,000 inactive companies in 2025 — Registrar General

    The Corporate Affairs Commission (CAC) says it delisted more than 400,000 companies in 2025 for failing to file annual returns and remaining inactive, describing the development as a necessary step to protect the economy.

    Registrar General of the commission, Hussaini Ishaq Magaji, SAN, disclosed this in Abuja during a commemorative walk marking the CAC’s 35th anniversary.

    Magaji said the exercise was a major milestone for the commission, which was established in 1991, noting that the anniversary offered an opportunity to reflect on its progress and challenges over the years.

    He said the delisting of inactive entities was part of ongoing reforms aimed at strengthening the corporate registry and improving the business environment.

    According to him, the commission has evolved from manual processes to fully digital operations, enabling it to provide services around the clock.

    “The idea is to position CAC as a world-class organisation. Expectations are high, and the commission has come a long way and is striving to go higher,” he said.

    He noted that the anniversary walk symbolised the agency’s growth and the commitment of its staff, adding that teamwork and resilience had driven the commission’s achievements over the years.

    Magaji said the CAC had made significant strides in promoting ease of doing business, especially through the digitisation of its services, which allows business registration to be completed from any location.

    He added that the commission is now fully digitalised, providing end-to-end services on a 24-hour basis.

    In collaboration with other agencies, the Registrar General said the CAC’s partnership with the Small and Medium Enterprises Development Agency of Nigeria (SMEDAN) had produced positive results.

    He said the joint initiative had enabled the registration of 250 micro, small, and medium enterprises at no cost, as part of efforts to support business growth.

    Magaji also said the commission remained committed to staff welfare, noting that several measures had been introduced to improve working conditions and support employees.

    Members of the Board of Trustees (BoT) of Al Manar Education and Development Foundation, proprietors of the Al Manar Juma’at Mosque in Kaduna, have indicated plans to appeal a Federal High Court judgment that dismissed their suit challenging their suspension by the Corporate Affairs Commission (CAC).

    Justice Rilwanu Aikawa of the Federal High Court in Kaduna on Thursday struck out the case, ruling that it was improperly filed as a fundamental human rights application.

    The court held that the issues raised by the applicants did not fall within the scope of enforceable fundamental rights.

    The trustees had approached the court to set aside their suspension by the CAC, arguing that the action was taken without a fair hearing.

    Speaking after the judgment, counsel to the applicants, Mas’ud Alabelewe Esq., said his clients filed the suit on the basis that their right to a fair hearing had been violated. He noted that the court, however, took a different legal position.

    Alabelewe said the trustees have applied for the Certified True Copy (CTC) of the judgment to enable a thorough review before deciding on the next legal step, including a possible appeal.

    Separately, a suspended BoT member, Alhaji Aliyu Moddibo, said the trustees were likely to approach the Court of Appeal after studying the full ruling, describing the matter as a dispute over the management and future of the foundation’s assets.

    When contacted, the Chief Imam, Sheikh Tukur Adam Al-Manar, declined to comment on the court’s decision but rejected claims relating to financial impropriety, stating that he is not a signatory to the foundation’s bank accounts.

    He also maintained that the mosque is a Da’awah project entrusted to him by its founders.

    Reps get petition seeking review of changes to realtors’ CAC records

    The House of Representatives has received a petition seeking a review of changes made to the records of Jonah Capital Nigeria Limited and Houses for Africa Nigeria Limited by the Corporate Affairs Commission (CAC).

    The petition, submitted on behalf of the two companies, raised concerns over alterations to their filings at the CAC, calling for the National Assembly to examine the circumstances surrounding the changes.

    It was presented during plenary by Muktar Tolani Shagaya, who represents Ilorin West Federal Constituency of Kwara State. The session was presided over by the Deputy Speaker, Benjamin Kalu, granted leave for the petition to be laid before the House.

    According to the petitioners, the disputed changes relate to shareholding structure, directorship and the status of certain corporate filings. They contended that the amendments were made while ownership and control issues involving the companies were already before the courts and subject to review by relevant authorities.

    The matter is connected to a long-running dispute over interests in the River Park Estate, a major real estate development in Abuja, involving competing claims among investors and associated entities.

    In a statement referenced in the petition, Kojo Ansah Mensah, chief executive, Jonah Capital Nigeria Limited, said the companies had earlier written to regulatory and law enforcement authorities over the dispute, adding that they requested  no changes be made to their records pending the outcome of ongoing processes.

    He maintained that the companies were not given fair hearing before the disputed filings were effected.

    The petitioners also alleged that following the changes at the CAC, individuals recognised as directors in the updated records took steps to notify banks and other institutions of a change in control of the companies. They argued that these actions have disrupted operations and worsened the dispute.

    Separately, Houses for Africa Nigeria Limited has issued statements distancing itself from claims by individuals it said were not authorised to speak or act on its behalf. The company insisted that its current directors and shareholding structure were as reflected in earlier filings and internal resolutions, adding that any contrary claims were the subject of ongoing legal processes.

    The companies have since written to the National Assembly and Office of the Attorney-General of the Federation, requesting intervention and clarification on the role of the CAC in disputes that were before the courts.

    Fintechs are coming under the surveillance of the Corporate Affairs Commission (CAC) under fresh efforts to curb money laundering in the country.

    The commission announced yesterday that  Fintechs enabling illegal operations would  be placed on watch list and reported to the Central Bank of Nigeria (CBN).

    The agency also plans a nationwide clampdown on unregistered Point-of-Sale (PoS) agents effective January 1,2026.

    The CAC in a statement  directed all operators to regularise their businesses before Jan. 1, 2026.

    The commission said the directive became necessary following the rising number of PoS operators conducting business without registration,which it said is in violation of the Companies and Allied Matters Act (CAMA) 2020 and the Central Bank of Nigeria (CBN) Agent Banking Regulations.

    The CAC described the trend as a reckless practice often enabled by some fintech companies.

    This,it said,poses significant risks to the country’s financial system and the investments of citizens.

    It said that beginning Jan. 1, 2026, no PoS operator would be allowed to operate without CAC registration, adding that security agencies have  been mandated to enforce full compliance nationwide.

    “Unregistered PoS terminals will be seized or shut down by Security Officials. Fintechs enabling illegal operations will be placed on watchlist and reported to the CBN.

    “All operators are advised to regularise immediately and compliance is mandatory,” the statement said.

    The commission reaffirmed its commitment to ensuring orderliness within the sector.

    It said the directive aligned with broader efforts to sanitise the financial services space and strengthen regulatory compliance for the protection of users and investors.

    It added that the enforcement drive underscored its resolve to promote transparency, safeguard the economy, and deliver prompt and efficient services in line with its mandate.

    Court stops CAC from withdrawing NYCN’s registration certificate

    A Federal High Court in Abuja has ordered the Corporate Affairs Commission (CAC) and its Registrar-General (RG) Hussaini Ishaq Magaji (SAN) to maintain status quo in a suit before it over the purported withdrawal of the Certificate of Incorporated Trustees of the National Youth Council of Nigeria and appointment of Interim Management Committee of NYCN by the Commission.

    The Court presided over by Justice Binta Nyako also ordered the Federal Ministry of Youth Development and the Minister for Youth Development who were listed as defendants in the suit to also maintain status quo in the matter. 

    The order is pending the hearing and determination of a motion on notice for an interlocutory injunction sought by the NYCN.

    The Incorporated Trustees of NYCN Amb. Sukubo Sara-Igbe Sukubo, President of NYCN and Secretary of Board of Trustees, had approached the Federal High Court Abuja as claimants and applicants seeking an interim injunction. 

    The injunction seeks to restrain the Registrar-General of the CAC and the Commission from withdrawing the Certificate of Registration of NYCN or de-recognising its existing claims to leadership. 

    The claimants and applicants are also seeking an interim injunction restraining the Minister of Youth Development and the Ministry from acting on or giving any effect to the purported withdrawal of the Certificate of Registration of NYCN by the CAC. 

    They are seeking the reliefs pending the hearing and determination of the motion on notice for an interlocutory injunction.

    When the matter came up in court, counsel to the Incorporated Trustees of the NYCN and that of Amb. Sukubo Sara-Igbe, Mustapha Shaba Ibrahim, (SAN), and Sheriff Aduke respectively brought an ex parte application. 

    Justice Binta Nyako ordered that the case can best be taken on notice and directed all parties to maintain the status quo.

    The Judge directed that the defendants be put on notice before adjourning the case to October 28, 2025 for motion on notice.

    The Corporate Affairs Commission (CAC), in collaboration with the Small and Medium Enterprises Development Agency of Nigeria (SMEDAN), has unveiled a nationwide initiative to provide free business registration for 250,000 nano, micro, and small enterprises.

    The partnership was formalised through a Memorandum of Understanding signed in Abuja, where both agencies acknowledged that many entrepreneurs remain trapped in the informal sector due to costs, bureaucracy, and lack of awareness.

    SMEDAN Director General, Charles Odii, said the new scheme eliminates these barriers by covering registration costs and integrating beneficiaries into SMEDAN’s MSME database.

    This database, he explained, will grant access to grants, technical support, capacity-building programmes, and market linkages.

    Registrar-General of the CAC, Hussaini Ishaq Magaji, emphasised that the initiative will break down obstacles to formalisation, noting that by waiving ₦3 billion in registration fees, the government is paving the way for small businesses to achieve legitimacy, growth, and access to wider opportunities.

    The free registration drive, aligned with the Federal Government’s Renewed Hope Agenda, is expected to strengthen Nigeria’s MSME ecosystem and foster economic growth.

    Both agency heads commended President Bola Ahmed Tinubu for his commitment to empowering small businesses and creating an enabling business environment.

    Christ Apostolic Church Nigeria and Overseas has appealed to Federal Government and the judiciary to expedite action in determining issues relating to Certificate of Incorporation of the church, which has factionalised the church for years.

    CAC Supreme Council said the crisis rocking the church since 1995, borne out of ownership of Certificate of Incorporation of the church obtained in 1943 and renewed in 1985, would have been resolved if the cases had been determined in court with fairness.

    Speaking in Ibadan at 2025 Pastors Conference and Convention of the church, CAC President, Nigeria and Overseas, Pastor Abraham Ayodele, said if issue of Certificate of Incorporation of the church had been determined in time by the court, the crisis would have been laid to rest.

    He said unresolved legal disputes affecting the church remained a concern, adding that the matter of Certificate of Incorporation should be handled with fear of God.

    “I appeal to the Federal Government and the judiciary to expedite adjudication of these matters, which have been on since 1995. We do not seek preferential treatment but only fairness and justice so we may fully focus on our divine assignment without legal hindrance and pray that equity and justice prevail.

    “We are pursuing reunification not through compromise, but commitment to truth, love and divine direction.

    “By 2030, CAC will be 100 years old. We cannot celebrate our centenary in division. I enjoin our brothers in other factions to join us in accomplishing this  task.     “Our divine mandate is to uphold the truth, defend the faith and build a church that shines as a beacon of holiness and spiritual authority.”

    Speaking on the theme: ‘Repairing the Altar of the Lord’, he said the theme was a call to restore and renew faith, devotion and connection with God.

    “This year’s theme is both timely and prophetic. As ministers of God, we must first embody this message, setting our hearts and minds on eternal realities. We must have the courage to challenge the prophet of Baal in the church.”

    Christ Apostolic Church (CAC), Nigeria and Overseas, has appealed to the federal government and the judiciary to expedite action on the long-standing dispute over the church’s Certificate of Incorporation, which has fuelled factional crises for decades.

    The CAC Supreme Council noted that the crisis, which began in 1995 over the ownership of the Certificate first obtained in 1943 and renewed in 1985, could have been resolved if the cases had been determined promptly and fairly in court.

    Speaking in Ibadan at the 2025 Pastors Conference and Convention of the church, CAC President, Pastor Abraham Adekunle Ayodele, said an earlier judicial resolution would have put an end to the lingering division.

    He lamented that unresolved legal disputes continue to trouble the church and stressed that the Certificate of Incorporation matter should be handled with justice, fairness, and the fear of God.

    He said, “I appealed to the federal government and the judiciary to exercise adjudication of these matters, which has been ongoing since 1995. We do not seek preferential treatment but only fairness and justice so that we may fully focus on our divine assignment without legal hindrance and pray that equity and justice prevail.

    The Ambassador of the Corporate Affairs Commission (CAC), Michael Nwabufo, popularly known as Mike Premium, has unveiled AI-powered business registration portal to ease processes for prospective applicants.

    Nwabufo, President of the Practitioners of Content Creating, Skit Making, and Influencers Guild of Nigeria (PCCSIGN), who disclosed this in a statement on Saturday in Lagos, described it as a major leap in Nigeria’s ease of doing business. 

    According to him, his team have been working tiredness to make Nigerians register their businesses without any stress or complication.

    He said that his team worked with the commission to actualise the feat, in the bid to ensure development and growth small businesses.

    Commending President Bola Tinubu ‘s Renewed Hope Agenda, Nwabufo said that the new portal reflected the government’s commitment to empowering entrepreneurs and strengthening the Nigerian economy.

    “With this AI-powered platform, Nigerians can now register their businesses and obtain official documentation in as little as 10 minutes — without stress, without middlemen, and without relying on agents.

    The Pastor in Charge of Christ Apostolic Church (CAC) New Covenant Assembly and Director of Administration, CAC Nigeria and Overseas, Pastor Tope Dada, has marked his 72nd birthday, with members of his congregation celebrating God’s faithfulness in his life.

    In celebrating the man of God on Monday, September 1, the pastorate, board of elders, ministers, and workers of the church paid glowing tributes to Pastor Dada. They described him as more than a name within the body of Christ, hailing him as a testimony of God’s grace, a vessel of wisdom, and a true shepherd dedicated to leading God’s people.

    They said, “Over the years, he has worn many hats with divine excellence—the Man, the Pastor, the Prophet, and the Administrator. As a man, he embodies humility, discipline, and compassion.

    “As a pastor, he has nurtured souls, built lives, and raised a generation of faithful believers. As a prophet, he has stood in the counsel of God, delivering His word with boldness and accuracy.

    “And as an administrator, he has faithfully strengthened the structure and vision of Christ Apostolic Church worldwide, ensuring that the work of God is done decently and in order. His life is a glowing light, inspiring both the young and the old to live with integrity, faith, and excellence.
