  • Milost cancels $1b Unity Bank stake plan

    Milost Global Inc., a New York private equity firm, yesterday terminated a $1 billion equity and debt deal meant to grant it 60 per cent stake in Unity Bank Plc.

    In a statement, the management of Milost said it had analysed all its facts about the deal, and decided to terminate it. It said a letter terminating the transaction was yesterday morning sent to Unity Bank, even as the firm reaffirmed its interest in the Nigerian market.

    Unity Bank Plc had, last week dismissed reports that Milost Global Inc. planned to invest $1 billion in the bank.

    In a statement, the bank stated that it has not reached any agreement with Milost to warrant such a speculations. The statement, signed by the bank’s Head, Corporate Communications, Matthew Obiazikwor, said: “We categorically dismiss media claims of any such deal and advise the public to disregard any information to the contrary.”

    “The bank hereby makes further clarifications regarding its on-going recapitalization programmes to the effect that Unity Bank has not received commitment for investment of $1 billion from Milost. Unity Bank is in talks with a number of potential investors and has not concluded to pave the way for commitment of an investment,” he said.

    But Milost Global Inc gave more details of the transaction. It disclosed that on August 7, 2017 it had received a request for a call with the Chief Executive Officer (CEO) and Chief Finance Officer of Unity Bank Plc.

    “On the call, Unity Bank expressed its interest in working with Milost Global Inc. as its funding partner for its growth plans in Nigeria. Following the call, a desk top due diligence was conducted by Milost to its satisfaction. On September 4, 2017 a $1 billion financing term sheet was fully executed by both Milost and Unity Bank. The facility, a combo of equity and debt, was provided on the exciting understanding that Unity Bank would delist on the Nigerian Stock Exchange and move its listing to the USA. The signed term sheet was approved by the board of Unity Bank,” the firm explained.

    Continuing, it said that On Monday October 23, 2017, Milost Global Inc. was visited by Mrs. Oluwatomi Somefun, the CEO of Unity Bank Plc,  at its New York offices.

    The meeting which went ahead as planned was attended by Milost Global Inc. analysts and the Chairman, Egerton Forster. At the meeting she explained the need for capital funding at the bank and also their expansion plans.

    It was then agreed that Milost Global Inc. would start further due diligence on Unity Bank Plc. Further due diligence process started on the same week on the instruction of the Chairman of Milost Global Inc., Egerton Forster. The statement stated that further due diligence was satisfactory and Milost issued a binding commitment agreement to Unity Bank, which was approved by the board of Unity Bank and executed by both parties on November 14, 2017.

    “It is normal practice for all the publicly quoted companies which we fund to notify the market regulator on signature of the commitment letter since it has material effect to the stock; however Unity Bank did not. Milost assumed that this did not happen because Unity had agreed to move its listing to the United States of America.”

    It said a report on Bloomberg on the matter was factual, except for that Milost was to acquire 30 per cent of the bank, whereas in reality Milost was to take a controlling 60 per cent of the bank at closing, in a transaction that would retain the same board members and the same management for continuity of operations.

    “Soon after the story broke, Milost started receiving threatening emails from a gentleman who says he is politically connected to the powers that could shut Milost out of Nigeria if Milost didn’t terminate the Unity Bank transaction. The said individual was very well informed about our dealings with Unity Bank, such that he knew the audit group Milost had hired to carry out the final due diligence. He told Milost to tell the board of Unity Bank that the audit firm had instructed Milost that Unity Bank was a bad investment, failing which he would unleash the media on Milost, using among other things accusations that would cause the government to send Milost packing. These threatening emails were shared with the CEO of Unity Bank and the then CFO Ebenezer Kawole,” it said.

    “For the record, Milost did not violate any of the SEC regulations in the US; instead, Milost was sued by Alex MacGregor as he claimed he had paid, a Milost Global Inc. former sister company, Milost Advisors LLC, which was dissolved in 2016”.

    Senior Partner & CIO of Milost, Solly Asibey, stated: “We will not be deterred by media attacks that are baseless and unfounded. Our funding objectives for the Nigerian market remain solid and unwavering.”

    Managing Partner & CEO of Milost, Kim Freeman, stated: “Milost will continue to do business in Nigeria despite any negative publicity and this will ultimately benefit Nigeria and Africa.”

    Milost also accused a business newspaper and its journalists of being used by the Unity Bank shareholder threatening to tarnish its image if the transaction went through.

    “Milost Global Inc. wishes to reaffirm its interest in the Nigerian market and to also state that it will soon be releasing the first and second drawdowns to Japaul Oil & Maritime Services PLC to the total of $21 million in a combo of equity and debt. Another first and second draw down proceeds of $10 million will be released to Resort Savings & Loans PLC; the funds will be released to both companies within the month of April.”

    Milost Global Inc. also states on the record that it has hired one of Nigeria’s finest law firms to represent it in the lawsuit against the newspaper and its two journalists. It accused the newspaper of reporting fake news.

  • APC governorship candidate cancels interactive session

    The All Progressives Congress (APC) governorship candidate in Plateau State, Hon. Simon Lalong has cancelled his scheduled interactive session with stakeholders in the justice sector.

    A statement from his campaign directorate said the cancellation was in honour of victims of the twin bomb blasts which occurred in the state and claimed several lives.

    The statement added that session slated for yesterday and today’s campaign rally have also been suspended till further notice.

    Lalong had earlier met with the Jos Branch of the Nigerian Bar Association (NBA), where he informed them of his intention to contest the governorship election.

    He had invited stakeholders to the interactive session before the news of the blast.

    “My heart goes out to the victims of the blast and their families,” Lalong added

    Buhari cancels planned US trip

    The planned trip to the United States of America (USA) by the presidential candidate of the All Progressives Congress (APC), General Muhammadu Buhari has been called off.

    General Buhari was scheduled to be in the USA tomorrow to honour an invitation from the Centre for Strategic and International Studies (CSIS) to speak on Nigeria’s future.

    President Goodluck Jonathan was also invited to the cancelled event.

    The organisation’s Director of African Programme, Jennifer Cooke, said the programme’s cancellation was on account of an unexpected change in Gen. Buhari’s schedule.

    Initial media reports on Buhari’s invitation had suggested that he was travelling abroad for medical attention caused by ‘strain’ of his ongoing nation-wide campaign.

    Ms. Cooke was quoted by the online outfit, Premium Times, as saying: “The CSIS Africa Programme issued almost identical invitations to both leading political candidates (President Jonathan and Gen. Buhari) to share their perspectives on Nigeria’s forthcoming elections and Nigeria’s future more broadly.

    “There is considerable interest among U.S. policymakers and the Nigerian Diaspora community in the February 14 elections and an interest in hearing from both candidates first hand their thoughts on how best to ensure that the elections will be free, fair, credible, and peaceful.

    “The Africa Programme has no position on which candidate should or will be successful.”

    FEDERATION CUP SEMI-FINAL FALLOUT: NFF cancels third place

    Nigeria Football Federation (NFF) has cancelled the much expected third-place match between Prime FC and Giwa FC .

    In the two semifinals of the Federation Cup decided on Thursday Prime lost 1-0 to Dolphins while Enyimba beat Giwa FC also 1-0.

    On the hope that there will be third place tie between the semi-final losers the NFF has decided to call it off since there is no reward attached to the game.

    Head of communication, Dr Mohammed Sanusi, dropped the hint on Thursday when contacted on the traditional third place match.

    He said: “We have cancelled the third place match between Prime and Giwa because NFF has no plan to attach any reward to the game.

    “It is only the final between Dolphins and Enyimba that we are planning for. So Giwa and Prime will have more time to prepare for their respective League matches.

    “In fact, it might amount to a waste of time to organize such game as third place now.”

    FIFA cancels Nigeria’s victory dinner party

    A dinner party planned for the victorious Super Eagles’ squad on Monday night after the 6-1 defeat of Tahiti in their Group B 2013 FIFA Confederation Cup match was cancelled at the instance of FIFA.

    A PANA Correspondent reported on Tuesday that the team was billed to have the dinner at Restaurant Atelier in Savassi centre in Belo Horizonte but FIFA officials, citing security reasons, prevented the Nigerian players from leaving their hotel at Belvedere.

    They said that there had been street protests in Belo Horizonte and the measure was to prevent the Nigerian team from being caught up in any mob action.

    PANA reports that most major streets in Belo Horizonte were closed on Monday night by the Brazilian military police following increased protests in the city.

    One of the organisers of the dinner, Olusegun Akinruli, lamented the turn of events.

    “It is sad, but we have to understand the concerns of FIFA. We would have loved to celebrate the victory with guests of Nigerian roots,’’ said Olusegun, who prepared the dishes for the players.

    The Super Eagles, who at about 4.30 p.m. Nigerian time, touched down at the densely-populated Atlantic coastal city of Salvador for the next game, had private dinner at BH Mall in Belo Horizonte and walked back to their Ceaser Park hotel. Councilman Leo Bourgeois also lamented the cancellation of the dinner.

    “It’s sad. We try to show that there was sufficient security for the athletes. But we have to accept the decision of the FIFA. The cancellation was because of legitimate demonstrations within a democratic country.’’

  • Jonathan cancels wife’s thanksgiving

    President Goodluck Jonathan is yet to get over the death of Kaduna State Governor Patrick Yakowa in a helicopter crash on Saturday in Bayelsa State.

    The President has called off his wife’s thanksgiving service.

    The event was initially scheduled for yesterday.

    Yakowa died with former National Security Adviser, Gen. Patrick Owoye Azazi (rtd).

    Others involved in the crash were Dauda Tsoho and Warrant Officer Mohammed Kamal and the pilots, Commander Muritala Mohammed Daba and Lt. Adeyemi O. Sowole.

    The victims were part of the dignitaries at Okoroba in Ogbia Local Government Area of Bayelsa State for the funeral of Pa. Obebara Douglas, father of Mr. Oronto Douglas, Special Adviser to the President on Research and Documentation .

    The President, who returned to Abuja on Saturday after attending the annual Holy Ghost Congress organised by the Redeemed Christian Church of God (RCCG) on Friday, was yet to get over the shock of the nation’s loss.

    Though he has ordered an iinvestigation into the crash, Jonathan was yet to get over the news.

    According to sources in the Presidential Villa, the President was yet to get himself together.

    They said: “The news came to him as a big surprise and it has affected him.

    “The President right now is in a sober mood.

    “For him to have put off his wife’s thanksgiving service programme, which has been announced and invitations sent out, you will understand how he took the news of the crash.”

    Another source said the President may cancel some of his programmes so as to meet with regulators of the sector.

    Jonathan, according to the sources, was looking so disturbed, especially when the incident is coming barely two months after another governor, Danbaba Suntai of Taraba State was involved in a plane crash.

    Suntai survived the crash and is recuperating in a German hospital.

    The President thinks that beside private airlines, there should be a way by which the aviation regulatory bodies could subject the private planes and military ones to proper checks.

    The Governors’ Forum has supported the directive of the President that the incident be investigated.

    A statement by the Forum’s Director-General Bayo Okauru, said the governors also urged the aviation authorities to work harder at making flying safer in the country.

    The governors called for an overhaul of aviation facilities and equipment.

    They said: “We are pleased that the President has ordered an investigation into the accident.

    “While we await the outcome of the investigation, our thoughts and prayers remain with the families, friends and associates of our departed patriots at this trying time.

    “We hope the aviation authorities will work harder at making flying safer and easier in our country.

    “We also urge the relevant authorities to periodically overhaul and maintain our law enforcement facilities and equipment.”
