    $6b Mambilla power project: Court orders EFCC to remove firm’s promoter’s name from wanted list

    A Federal High Court in Abuja has ordered the Economic and Financial Crimes Commission (EFCC) to henceforth delete the name of the promoter of Sunrise Power and Transmission Company Limited, Leno Adesanya, from its list wanted persons.

    The court said Adesanya’s name should not be linked with criminal allegations associated with the $6 billion Mambilla hydropower project contract.

    Justice Inyang Ekwo issued the order yesterday in a judgment he delivered in a fundamental rights enforcement suit Adesanya and his firm filed against the EFCC, the Federal Ministry of Power and Steel, the Federal Government of Nigeria, and the Attorney General of the Federation (AGF).

    The judge agreed with Adesanya’s lawyer, M. S. Diri (SAN), that since the Ministry of Power had contested the claims of the plaintiffs and counter-claimed against them (Sunrise’s claims) at the International Chamber of Commerce Court of Arbitration, the sanctity of the arbitral proceedings must be respected and protected.

    He said the court was concerned about safeguarding the integrity of the arbitral proceedings between the parties, based on the United Nations Conventions on International Dispute Resolutions, which Nigeria is a signatory to and has also domesticated.

    Justice Ekwo averred that the Ministry of Power must not be seen as a territory where international commercial transactions are unsafe and where municipal laws and agencies could be used against investors in case of disputes.

    He said Sunrise instituted fresh arbitral proceedings against the Federal Government of Nigeria, which are still ongoing.

    Acknowledging that the fundamental rights guaranteed by the Constitution are not absolute, the judge said they cannot serve as a defence against the violations of such rights in manners that are at variance with constitutional provisions.

    According to him, the EFCC has no valid defence to justify its publication of Adesanya’s name and photograph as a “wanted person” on its website.

    Justice Ekwo issued an order “quashing, setting aside, and prohibiting the publication of the first plaintiff (Adesanya) as a wanted person or threatening to prosecute the plaintiffs by the EFCC over the Mambilla Hydroelectric Power Project, pending the determination of the contractual dispute between the second plaintiff and the second and third defendants, which is pending before the International Chamber of Commerce Court of Arbitration in Paris, under ICC Case Reference Number 26260/SPN/AB/CPB, where the second and third defendants have joined issues”.

    In his ruling, he said an order “of mandatory injunction is hereby made directing and compelling the EFCC, whether by itself or through its officers, agents, servants, or any other means, to immediately take down, delete, and remove the name and photograph of the first plaintiff as a ‘wanted person’ from its website: https://www.efcc.gov.ng and all other social media platforms and notice boards; and to remove all other negative content concerning or relating to the first plaintiff in connection with any criminal allegations”.

    Adesanya and his firm had claimed that they were being witch-hunted following the Federal Government’s failure to comply with the contractual agreement on the Mambilla power project and the institution of an arbitral proceeding against the country.

    The defendants averred that despite the pendency of arbitral proceeding, the Federal Government and its security agencies, including the EFCC, sought to criminalise and scandalise the Mambilla power project in a bid to evade their legal contractual obligations.

    Power Minister Adebayo Adelabu has explained why funds were not allocated to the Mambilla power project in his ministry’s 2024 budget.

    Adelabu spoke when he appeared before the Senate and House of Representatives Joint Committee on Power to defend the ministry’s 2024 budget estimates.

    The minister said the Mambilla Power project was a subject of litigation and international arbitration.

    Sunrise Power and Transmission Company Limited (SPTCL) had, on October 10, 2017, sued the Federal Government at the International Court of Arbitration administered by the International Chamber of Commerce (ICC) in Paris, France, for “breach of contract” over a 2003 agreement to construct the 3,050MW plant in Mambilla, Taraba State, on a “build, operate and transfer” basis for $6 billion.

    He said: “For Mambilla, there is no provision for it in 2024. It isn’t a mistake; it is deliberate. It is under international arbitration. Until it is resolved, we can’t do anything about it.”

    Speaking on the Zungeru Hydro Power Project, which is expected to generate 700 megawatts of electricity, the minister said: “The hydro power plant is 99.8 per cent ready. It is almost completed, and we intend to start operation this year and commence evacuation to the national grid. Immediately concessionary fees are paid, we will start full operation. So, we don’t have problem with Zungeru.”

    Also, Works Minister Dave Umahi has called for an increase in the ministry’s 2024 budget to N1.5 trillion.

    He said the increase is critical to the completion of at least 10 selected critical roads and bridges in each of the six geo-political zones of the country.

    In the 2023 fiscal year, the Ministry of Works and Housing, including its parastatals, got an appropriation of N534,455,695,989, out of which the Works and Housing sectors got a total capital of N453,255,980,966.

    After the demerger of the ministry, the Federal Ministry of Works got an allocation of N383,351,656,449 as capital, with overhead expenses of N525,362,343.96, and personnel costs totalling N6,916,751,203.

    Umahi, who spoke yesterday while appearing before the joint National Assembly Committee on Works for the defence of the ministry’s 2023 budget and the presentation of the 2024 budget, said the current Appropriation for the ministry was insufficient.

    The minister highlighted the inclusion of new projects in the 2024 budget, amounting to a total cost of N102,956,624,538.

    He explained that without the requested increase, the ministry might encounter challenges in completing crucial ongoing projects that have already reached significant stages among the proposed 693 new projects for 2024.

    He told the lawmakers that 693 new projects were proposed in the 2024 budget, saying they were critical to improving the nation’s road network connectivity and enhancing traffic circulation on the Federal road network necessary for boosting socio-economic activities in the country.

    Also, the Minister of Agriculture and Food Security, Abubakar Kyari, has said the database of farmers benefiting from agricultural intervention programmes of the Federal Government had been corrupted and politicised.

    The minister said this when he appeared before a joint National Assembly Committee on Agriculture to defend his ministry’s 2024 budget estimates.

    Kyari, a former senator representing Borno North, insisted that the existing farmers’ database consisted of names of politicians who are not even farmers.

    He said: “Our main problem today is the clean data of farmers. Unless our team will have that, we can never get it right.

    “Today, even in some of the programmes that we have, I found one of our political bosses who has never been a farmer. He has never farmed in his life. He received a text message that he should go and redeem his fertiliser from an agro dealer and he called me and said: ‘Did you put my name in the palliative?’

    “It is not even palliative. I said I don’t even know your full name. I only know you as Bagura. I didn’t know that you are Bagura so so and so.

    “So, he sent me a copy of the text message.  That is to tell you how corrupt that database is.”

    Also, the Senate has urged the Executive arm of government to ensure allocation of at least 10 per cent of total annual budget revenue to agricultural production.

    The Chairman of the Senate Committee on Agriculture Production, Services and Rural Development, Salihu Mustapha (APC, Kwara) made the request at the joint budget defence session of the Ministry of Agriculture and Food Security yesterday in Abuja.

    Mustapha said the Senate and House committees on Agriculture Production, Services and Rural Development were concerned about the challenges facing the agricultural sector.

    He noted that despite the challenges, the sector remained the largest contributor to the nation’s Gross Domestic Product (GDP) from non-oil sector with over 20 per cent.

  • $5.8b Mambilla power project hit by legal crisis

    Barely a year after the signing of an agreement for the construction of the $5.792billion (about (N2.096trillion) Mambilla hydro-power project in Taraba State,  the contract is enmeshed in a legal crisis.

    The legal hitch follows moves by some forces in government  to sideline the local content partner, Sunrise Power and Transmission Company Limited.

    The company was awarded the Build Operate and Transfer (BOT) contract  for the project in 2003.

    But the issues surrounding the project are now before the ICC Arbitration Panel in Paris.

    Although an amicable resolution of the legal dispute has been proposed, it was learnt the project might be stalled unless President Muhammadu Buhari intervenes in the crisis.

    The Federal executive Council (FEC) on August 30, 2017 approved the award of the project to Messrs China Gezhouba Corporation, Sinohydro Corporation Limited and CGOC Group Limited.

    In November 2017, the Minister of Works,  Housing and Power, Mr. Babatunde Fashola  signed the contract for the 3,050megawatts hydro power project.

    During a state visit to China on September 7, 2018, the President of CGCC, the construction company, Prof. Lyu Ze Xiang, told the President that “our target is to commence the project early next year.”

    But while the President is looking forward to the take-off of the project, the legal dispute before the international arbitration panel is yet to be resolved.

    Sensing a likely legal crisis, the Attorney-General of the Federation and Minister of Justice, Mr. Abubakar Malami, n a July 24, 2017 letter to the then Acting President, Prof. Yemi Osinbajo, recommended that the interest of the local partner, Sunrise Power and Transmission Company Limited, should be accommodated.

    In  a memo,  the AGF said: “Sunrise Power and Transmission Company Limited should be engaged as Local Content Partner on the Mambilla Project as a means of accommodating its prior contractual interests on the project.”

    But instead of complying with the advice of the AGF, some government officials had been trying to shut out the local content partner.

    The power-play in government over local content partner has created a major hurdle for the Chinese consortium.

    A source said: “In spite of the fact that this is a signature project for this administration, some government officials do not want the construction of the Mambilla Hydro-Power Project to take off early 2019 as contained in the timeline.

    “And with the fresh legal dispute over the project before an international arbitration panel, the government may find it difficult to finance the plant. By its funding module, the  project would be jointly financed by the Federal Government and the China Export Import (EXIM) Bank. While EXIM bank will provide 85 per cent of the cost,  the Federal Government is to bear 15 per cent.

    “Unknown to the President, there are vested interests in government trying to drag the nation into unnecessary legal web which might delay the construction of the new plant.

    “Some of these power brokers wanted some of the billions of dollars meant for Mambilla Project to be diverted to a 1500MW solar power project.”

    As at press time, it was gathered that the Federal Government was yet to reach an amicable resolution with Sunrise Power and Transmission Company Limited and Sinohydro Corporation states at the arbitration panel in Paris.

    In a November 18, 2018 petition to President Buhari, the Chairman/CEO of Sunrise Power and Transmission Company, Mr. Leno Adesanya, exposed the intrigues behind the project and the need for a presidential intervention.

    The petition to President Buhari was entitled “Re: Proposed Amicable Resolution in respect of ongoing $2.3 billion ICC Arbitration in Paris between Sunrise, Federal Government of Nigeria (the “FGN”) and Sinohydro Corporation states.”

    His petition reads in part:  ”As a result of numerous attempts to fraudulently divert billions of dollars from the 3050MW Mambilla hydropower project (the “Project”) to a 1500MW solar power project, the execution of the 3050MW Mambilla hydropower project has refused to take off the ground.

    “The reason being, China Exim bank’s insistence of compliance with due process, and terms of the November 2017 EPC contract signed with the Chinese JV Partners.

    “Ironically, this fraudulent multi-billion dollar solar power project was rejected by the Federal Executive Council (the “FEC”) on the 16th of August 2017 when it was fraudulently packaged with the Mambilla hydropower project as one project.

    “The Solar Power project was submitted without any Feasibility studies, Environmental Impact Assessment (EIA) reports, NASS budget approvals, and without any bid process (due process) in the selection of the proposed EPC contractor(s) for both the 3050MW Mambilla hydropower project and the 1500MW Solar Power project.”

    ”Your Excellency’s commitment to expeditiously execute the Project in June 2015 was communicated by the Honourable Attorney-General of the Federation, Mr. Abubakar Malami SAN (the “HAGF”) to the Honourable Minister of Power, Works and Housing (the “HMOPWH”) Mr. Babatunde Fashola SAN on the 20th of May, 2016; when the HAGF directed the HMOWPH to comply fully with all existing agreements between the Federal Government of Nigeria (the “FGN”) and Sunrise; basically the out-of-court Settlement, and the General Project Execution Agreement(s) of November 25th 2012.

    ”In view of the Presidency’s invitation for CGCOC (formerly CGC) participation in the Project, we petitioned Your Excellency, HMOPWH, and HAGF in April 2017 with evidence of previous corrupt practices CGC in May 2007 when they paid millions of dollars to a very senior Presidency official to enable CGGC/CGC sign a $1.46 billion Mambilla Civil Works contract on the 28th of May, 2007, as one of the $16 billion Nigerian Integrated Power Project (the “NIPP”) power projects.

    “CGC made this confession to then President Umaru Musa YarAdua GCFR in February 2008 while on a State visit to China. The senior Presidency official admitted to then President Yar’ Adua of collecting the bribe, which led to the termination of the contract, and removal of the official from the Presidency in 2008.”

    Adesanaya gave insights into the latest crisis impeding the hydro-power project.

    He said on the 22nd of May, 2017, a Presidency official  instructed the Ministry of Power, Works and Housing(HMOPWH) to “remove Sunrise from the Mambilla hydropower project, and instructed that CGGC, CGCOC and SINOHYDRO would execute the Project”.

    He added: “Bearing in mind that Your Excellency was on medical vacation in the UK, and Professor Yemi Osinbajo SAN GCON was the Acting President.

    “On the 24th of July, 2017, the HAGF reacted to our petitions by advising then Acting President Prof. Yemi Osinbajo SAN GCON that the HMOPWH should sign the $5.8 billion EPC contract with Sinohydro and CGGC (50/50), with Sunrise as the Local Content Partner to the Project.

    On the 10th of November, 2017, the HMOPWH signed the $5.8 billion Mambilla hydropower EPC contract with CGGC, CGCOC and SINOHYDRO.

    “As a result of this illegality, we commenced arbitration proceedings against the FGN and SINOHYDRO Corporation of China at the International Chamber of Commerce (the “ICC”) in Paris.

    In February 2018, Sinohydro (owned by the Chinese Government with over $3 trillion in foreign reserves) filed a request for an amicable resolution with Sunrise.”

    Adesanya also tabled four suggestions before the President in order to protect the project from being stalled by legal dispute.

    He said: “In the light of the recent irreversible arbitration ruling delivered against the FGN in the UK and the United States for Nigeria to pay at least $9 billion in damages to Process and Industrial Development Company in the UK (the “P&ID) for breach of contract, our lawyer, Mr.  Femi Falana (SAN) held discussions with Your Excellency in July 2018 to explore avenues for an amicable resolution, and prevent another $2 billion in damages against the FGN.

    “ As a result, Your Excellency expressed your full support and approval for expeditious settlement of the dispute with Sunrise, and if possible, “in line with Your Excellency’s directive to HAGF in 2016″

    “In the light of the above, and the need to urgently communicate a settlement to the Paris Arbitral panel, we hereby seek Your Excellency’s approval for the following Prayers:

    • Compliance with the 24th July legal recommendation of HAGF to the then Acting President Prof. Yemi Osinbajo SAN GCON, with the signing of a new $5.8 billion EPC contract between SUNRISE/CGGC 50%, SUNRISE/SINOHYDRO 50%, with SUNRISE as the exclusive Local Content Partner to the Project.
    • Immediate release of 15% (US $870,000,000.00) Counterpart funds to China Exim bank on behalf of SUNRISE, CGGC and SINOHYDRO or
    • Approval for the Nigerian Sovereign Investments Authority (the “NSIA”) to immediately negotiate our Paris arbitration claims, and make payments on terms and conditions that are mutually acceptable.
    • A meeting with Your Excellency, and respectfully, the Vice President, HAGF, NSIA HMOPWH, ICPC, EFCC, and the Chinese JV Partners, and the Chinese Ambassador to Nigeria, to discuss the corruption and fraudulent practices delaying the execution of the project, bearing in mind the Chinese zero tolerance for corruption, and Your Excellency’s strong and against corruption.”

    President Muhammadu Buhari has received assurance from the Joint Venture Partners assigned to construct the 3050 Megawatts Mambilla Hydro-electric Power Plant that processes leading to the start of work will soon be completed.

    He said this would pave the way for the beginning of the project early next year.

    At a meeting yesterday in Beijing with Professor Lyu Ze Xiang, the President of CGCC, the construction company, President Buhari asked to be briefed on timeline for the commencement of work, following his successful meeting with the Chinese leader, Xi Jinping.

    Buhari, who likened the Mambilla to China’s Three Gorges Dam, said given the significance of the project to Nigeria’s socio-economic development, there was need for its speedy completion.

    In a statement by the Senior Special Assistant on Media and Publicity, Garba Shehu, Buhari said: “I am very pleased with the concern you have shown for the significance of this project. I would like you to ensure its speedy completion.”

    Xiang told President Buhari that Nigerian officials and the project consultant would meet in two weeks to address the questions raised by President Xi for more detailed and updated feasibility and sustainability studies.

    He said a team had already been set up to work on the financing aspect.

    “We understand the importance of this project to the economic and social well-being of Nigeria. In two weeks, we will sit down with the parties for the economic and sustainability analysis. It will take about four weeks to conclude the update,” Xiang said.

    According to the lead contractor, “pre-commencement work,” would thereafter begin, dealing with access to site and putting in place the necessary support infrastructure such as power, water and transportation.

    “Our target is to begin the project early next year,” he told President Buhari before the Nigerian leader’s departure at the conclusion of his six-day official trip to China.

    THE Federal Government is not serious about delivering the multi-billion naira Mambilla Hydropower project despite President Muhammadu Buhari’s approval that the project must begin, Taraba State Governor Darius Ishaku has said.

    He told The Nation in an interview in Abuja that it was still impossible for contractors billed to handle the project to access the site because of the lack of access road.

    According to the governor, the government was yet to engage the communities that will be displaced by the project in meaningful dialogue with a view to sensitising them.

    Ishaku said despite several meetings with the Minister of Power, the government was yet to come up with a workable plan on how to compensate the people living in the area.

    He said: “The Mambilla Hydropower project is going to be the biggest power project in Africa and not just in Nigeria because it is going to have 3,050 megawatt, which is more than the power we are generating now. So, we are going to almost double the power that Nigeria is producing now. It is going to take between five to seven years to complete.

    “I am happy that Mr. President has taken the bold step of awarding this contract and I am working assiduously to clear the encumbrances affecting the project.

    “As I speak to you now, the Federal Government has done nothing in terms of remuneration and compensation for the people and getting the site cleared of encumbrances. Right now, I can’t take you to the site of the project because the access is not there.

    “There is no road to where the dam will be built. People are still living in the valley of the dam as we speak. There is a Bible College right where the dam is going to be built. Will you just come and start the dam and clear the people? The people must be sensitised and made aware of what is coming.

    “I am going to resettle 150,000 people in five different local governments. The area of this dam is bigger than the area of Lagos State. When people talk about the dam, they talk as if you will just drive there and start work. It is not done like that.”

    The governor explained that the process of compensation takes a long time, including sensitisation.

    He lamented that the Federal Government had not done anything as at the moment.

    “We have held meetings with the minister and till now, I have not seen any result and this will take us about one year.

    “So, if you say the project will take seven years of construction and for one year, nothing has been done, especially in trying to get to the site, it means a lot still need to be done.

    “I am happy with the project and we will do everything possible to make sure the project is realised to the benefit of the country and Taraba State.

    “But a lot need to be done in terms of moving to site because there is no accessibility to that site. So, many thing that need to be in place before the contractor can move to site have not been done,” he said.

    He said owing to the Mambilla project and the need to open up Taraba State, the first thing he did when he came on board was to open the Taraba airport. “Before now, you cannot access Jalingo with air flight. But right now, you have Overland on Mondays, Wednesday and Fridays and we are hoping that by December, it will be a daily flight.

    “All the engineers and contractors that will come to the state should have an easy access. It is one hour flight from Abuja to Jalingo and it takes you six hours from Jalingo to go up the mountain.

    “The airport is supposed to be a cargo airport and so, we are looking at expanding it so that from there, we can export agricultural produce. If I package beef, it needs to be in the market immediately. The same applies to fruits and other agricultural produce.

    “So, the first step to opening up the state was to reopen the airport which is working now. These are the things I did to unlock the state. Otherwise, we are stocked in a corner of the country. In terms of traveling by road, it takes you between nine to 10 hours from Abuja to Jalingo, depending on how many road blocks you have on the way.”

    FG seeks speedy completion of Mambilla power project

    President Muhammadu Buhari on Wednesday in Beijing promised that his administration will honour all agreements concluded between Nigeria and China under previous administrations to ensure the speedy completion of outstanding joint projects, including the 4,000 megawatts Mambilla Hydro-Electric Power Project.

    Buhari spoke at a meeting with Mr Li Keqiang, the Premier of the State Council of the Peoples Republic of China.

    President Buhari regretted the failure of past governments to meet Nigeria’s obligations in joint projects with China.

    In a statement by the Senior Special Assistant on Media and Publicity, Garba Shehu, the President told the Chinese Premier that his administration was committed to the completion, in the shortest possible time, of all joint power, rail, road and aviation projects that will directly and quickly improve the lives of Nigerians.

    He said that he was particularly keen on actualizing the Mambilla Power Project because of its huge potential to boost employment and national economic growth.

    The Chinese Premier commended ongoing efforts by the Buhari Administration to improve Nigeria’s infrastructure.

    He assured the President that China was ready to work with his administration to complete all joint projects, including the Mambilla Power Project.
