    MTN, NCC: At the end of the tunnel…

    When the Federal Communications Commission announced its intent to fine multinational telecommunication giant AT&T $100 for violating a provision of the agency’s Net neutrality regulations in 2015, many subscribers threw their weight behind the move describing it as a people-friendly action.

    However, observers from around the world expressed eagerness to see the end game of that huge sanction especially as the FCC’s fine was the largest the agency has ever proposed at the time.

    Similarly, Nigeria became the focus of Africa and indeed the world when a gargantuan fine of N780 billion was imposed on MTN Nigeria by the Nigerian Communication Commission (NCC), leaving the company in an uncertain state of what seemed to be its worst regulatory encounter in Nigeria. Like the fine on AT&T, local and international observers followed every related detail through the varying phases, the twists and turns surrounding the MTN/NCC regulatory debacle.

    It will be recalled that for about a period of six months intense consultations, negotiations, and renegotiations were ongoing. The historic visit made by South African President Jacob Zuma, MTN’s acquisition of a foreign lawyer, the withdrawal of the case from court and even the N50billion good faith payment were all significant scenes in the protracted debacle.

    None of these attempts seemed to proffer an amicable solution. As time wore on many interested and sometimes active observers eventually resigned to enjoy the back and forth concluding that the players neither understood or appreciated the long-term effect of the prolonged process of reacing an amicable settlement, thus we all waited.

    When the NCC announced its decision to review the fine to N300billion, the news did more than provide an amicable solution, but also created an all round way forward for virtually all involved. Indeed, it marked a fruitful end of that enduring regulatory crisis.

    Commenting on the decision the Executive Vice Chairman (EVC) of the NCC, Professor Umar Danbatta said: “Our decision was taken based on professionalism and global best practices and in line with the NCC values to be fair, firm and forthright”.

    According to the EVC, the Commission has always carried industry and stakeholders along in taking transparent regulatory actions, adding that at no point will the regulator do anything to jeopardise the business health of the entire sector.

    Although not many would have predicted a conclusion this orderly, following earlier failed attempts in a development that saw  top executive officers Sifiso Dabengwa, the Group CEO; Mike Ikpoki, CEO of MTN Nigeria; and Akinwale Goodluck, Director, Regulatory and Corporate Affairs MTN Nigeria take a bow, despite this  the disposition of Nigerian lawmakers did little to convince observers that the debacle was headed for a conclusion this calm.

    The reduction meant more than just a passive compromise to an obvious entanglement, it carried implications that cushioned the effect of the protracted debacle for those involved.  Apart from the reduction, the flexible payment plan also gives MTN enough payment span and breathing space, as it provides that the balance of N280 billion would be made in six tranches within a period of three years.

    Interestingly and in spite of the odd, significant strides were made by the company within the period under consideration some of which includes the acquisition of the Visafone CDMA technology platform, securing a license to stream TV contents and the launch of digital TV channels, and  being granted the operating licence to continue its extensive provision of service as an opportunity to demonstrate the company’s commitment to sustaining a beneficial relationship and increase it contribution to the development of the Nation’s economy through ICT.

    Analysts believe that the most fruitful aspect of the agreement between MTN and NCC is the news that MTN Nigeria would be listed on the Nigeria Stock Exchange (NSE) as soon as it is commercially and legally possible to do so. Nigerians are already anticipating it, with many analysts predicting that the listing will help balance the Nigerian bourse, giving investors’ options for sector rotation while reducing volatility associated with monotony of few names in the market.

    The statement of the MTN Group Executive Chairman, Phutuma Nhleko is perhaps the truest reflection of the implication of the reduced fine  “this is the best outcome for the company, its stakeholders, the Federal Government and the Nigerian people and the relationship between MTN”, the Federal Government and the NCC has been restored and strengthened,” Nhleko Said.

    Court adjourns N2.1b suit against MTN till June 29

    The National Industrial Court of Nigeria (NICN) sitting in Lagos, Wednesday adjourned till June 29, a $13.14 million (about N2.1 billion) suit by Paul Odunewu, an ex-Network Group Operations Manager in MTN Nigeria against the company.

    Justice Oyejoju Oyewumi adjourned for hearing of a motion filed by defence counsel, Mrs. Ayo Obe, SAN, seeking to substitute a witness.

    Odunewu has accused the company of withholding his entitlements, including a long-term incentive scheme (share option) worth over $13.14 million (about N2.1 billion). He is also demanding N100 million damages, among others.

    MTN Group Limited, South Africa; MTN Nigeria and MTN International, Mauritius are defendants in the suit.

    At the commencement of proceedings yesterday, claimant’s counsel, Kemi Balogun, SAN, opposed the motion on the grounds among others that the defendants intended to use it to amend their statement of defence without following due process.

    He said: “There was no mention of amendment of statement of defence. The amendment seeks to change the colouration of the entire case in view of the evidence already tendered.”

    Justice Oyewumi directed the claimant to file his objection in writing and adjourned till June 29 for hearing of the motion and October 24, 25 and 27 for the defendants to open their case.

    At the last hearing in November, a former chief executive of the company, Mr. Adrian Wood, told the court that Odunewu increased MTN’s base stations from 100 to 2,500 in three years and was one of 50 top employees offered the company’s shares.

    Wood, an Australian, said to keep such top employees, MTN Nigeria initiated a retention policy of leadership development and succession, under which those with potential were promoted within the MTN group offered shares.

    He said: “Odunewu was nominated as a key employee and was offered a share option plan being devised at that time.

    “By 2004, he was one of 50 senior employees chosen to participate in MTN Nigeria’s share offer plan.”

    Speaking on the rationale behind the support from MTN, MTN Executive, Amina Oyagbola, said that the company remains committed to driving economic growth in Nigeria by supporting initiatives that will truly place the country on the path of an economic renaissance. She added that the summit is another opportunity for the organization to demonstrate this commitment to socio-economic development.

    The 2016 Katsina State Economic and investment Summit will, among other things, provide a platform for discourse between the public and private sectors on issues and challenges facing the development of Katsina State, with a view to developing and harmonizing common strategies for addressing them.

    MTN Nigeria’s support is coming on the heels of its recent support of the 2016 Innovation Africa Development Summit (IAD), which assessed how ICT can support national and regional development objectives, engagement strategies and operational efficiencies.

    The event recorded an impressive turnout of attendees on its day one, which included members of the Federal Executive Council, Ministers of ICT across Africa, Heads of Regulatory bodies as well as representatives of telecommunication providers from Africa, Asia and Europe.

    This maiden edition of the Katsina Economic and Investment Summit will see top corporate executives, captains of industry and senior Government officials congregating to discuss how best to leverage the state’s resources for greater business profitability as well as improve the operating environment for doing business in the state. 

  • MTN withdraws suit against FG

    MTN Nigeria has formally announced the withdrawal of the court case against the federal government of Nigeria.
    According to a statement issued on Friday, this is in order to pave way for continue settlement discussions with the Federal government  towards an amicable resolution of the matter in the best interests of the Telecom company and Nigeria.

    In retrospect, MTN on 24th of February 2016, announced its withdrawal of the court case and made an initial payment of N50 Billion without prejudice.

    This payment was made on the basis that it would be applied towards a settlement when one is arrived at.

    Speaking in the press statement, the Chief Executive Officer (CEO) MTN Nigeria, Ferdi Moolman said: ‘’We have kept our promise to withdraw and we have followed through by formally doing so. This is in line with the premium we place on good corporate citizenship.”

    The formal withdrawal today at the Federal High Court, with all parties in attendance, signals further progress in the negotiations between MTN Nigeria and the Nigerian government.

    Speaking further, Moolman described the development as another manifestation of good faith and intent by MTN Nigeria. We have confidence in the equally good intentions of the Nigerian authorities and the strength of our mutual commitment to an amicable resolution.

    “The high priority that Government is giving to the sustainability of the industry assures us of a truly integrated approach amongst all parties, to the growth of ICT as a critical enabler of socio- economic development in Nigeria.’’

  • NCC lifts sanction on MTN Nigeria

    Mr. Tony Ojobo, the Director, Public Affairs, Nigerian Communications Commission (NCC), said on Wednesday that the commission had lifted the sanction placed on MTN Nigeria since July 13, 2015.

    Ojobo said in a statement made available to the News Agency of Nigeria (NAN) in Lagos that the regulatory sanctions were for 24 identified infractions.

    It said that the lifting of the regulatory sanction was in no way related to the Subscriber Identification Module (SIM) card non-deactivation fine.

    “This is to confirm that NCC has lifted the regulatory sanctions placed on MTN since July 13, 2015.

    “The sanctions were for 24 identified infractions which are not in any way connected with the SIM card non-deactivation fine.

    “These were a number of violations discovered by the Compliance Monitoring and Enforcement Team of the commission in June 2015.

    “Consequent upon the inability of MTN to remedy the identified infractions, the commission invoked the sanction in its guidelines,’’ the statement quoted Ojobo as saying.

    It said that the sanction meant the denial of regulatory services to the telecommunications company for failing to remedy the infractions in line with NCC’s regulations.

    According to the statement, consequent upon the remediation of the 24 infractions by MTN, the regulatory body’s letter of March 14, 2016, informed the company of its decision to lift the regulatory sanction.

    “It should be noted that this does not in any way extend to the fine for non-deactivation of SIM card case.

    “The case of SIM card deactivation is an entirely different infraction, which is mutually exclusive to the 24 infractions now remedied.

    “This has become necessary in view of the many enquiries being received from concerned stakeholders.
    “This action is without prejudice to the matter which is presently in court. Please be guided accordingly,’’ it quoted Ojobo as saying.

    The Federal Government of Nigeria has commended MTN Nigeria on its impressive contributions to the Gross Domestic Product (GDP) since its inception in 2004.

    Speaking during his working visit to the Head Office of MTN Nigeria on Monday, the Honourable Minister for Communication, Barrister Adebayo Shittu, said that the federal government will do everything possible to encourage and develop innovative ideas from MTN Nigeria and indeed other telecommunication companies in the country.

    “As a matter of fact, as a person, I consider MTN as first and foremost a Nigerian company. Nigerian company in the sense that it is a company registered in Nigeria like any other company. In fact, the government appreciates the contributions MTN Nigeria is making to the Gross Domestic Product (GDP), generating employment and putting smiles on the faces of Nigerians,” Shittu said.

    Speaking on the level of investment by MTN Nigeria, the Minister said: “MTN has made a lot of strides, pioneering efforts if I may say in regards to investment and in liberating Nigerians. As it were, time was when if you have to phone a relation, you will go to NITEL, queue up and pay through your nose for a minute or two. But with the coming of MTN and GSM, things have been wonderful.

    “There is no doubt over the last couple of months that we have had issues; those issues are normal in relationships like this. I want to assure you that the Nigerian government has nothing personal against MTN” while reassuring earlier that “my motivation for visiting companies is to do everything I can to give motivation and encouragement to companies operating in Nigeria.”

    It would be recalled that MTN Nigeria recently paid a sum N50billion to the Nigeria government in good faith with regards to the fine on the company by NCC. The company upon payment of the amount reiterated its commitment to the Nigeria government and assured of conducting its business within the parameters of the laws and regulations guiding its operations.

    The Company also reiterated its commitment to national security and human capital development as it places an unquantifiable premium on lives of Nigerians with its reinvigorated effort at complying with the SIM registration exercise.

    Stressing the value MTN has contributed, the Minister said: “I believe that MTN appreciates the fact that Nigerians love MTN. More than half of people who patronize GSM operations in Nigeria are your customers and I think that is an appreciation which must be acknowledged.”

    However, the Minister has promised to work in tandem with MTN Nigeria and other telecommunication companies in Nigeria to address challenges faced in the industry.

    “Am aware of deficiencies in broadband and some of the challenges you have mentioned. I want to assure you that we will do our best to collaborate with you to identify those things you can do very quickly and take all the needed steps to remedy the situation,” the Minister assured.

    Business enterprise is about to wear a new look thanks to the synergy of cooperation between MTN Nigeria and CNN International.

    The vehicle being deployed for this initiative is a multi-platform initiative tagged: ‘Africa View’ as commercial partners with the aim of inspiring growth and business development in Africa.

    The ‘Africa View’ vignette series airs within CNN’s flagship news and current affairs programme ‘Connect the World with Becky Anderson’. The series provides background and context to trends, figures and initiatives shaping the African continent. Dynamic, entertaining, modern and inspirational in style, the insert showcases topics and influential sectors driving African countries; from education and energy to technology and innovation.

    Omatsola Barrow is the Acting Chief Enterprise Solutions Officer, MTN Nigeria. In this role, Tsola has oversight for MTN business, the business to business  arm of MTN Nigeria that caters to corporate customers, SMEs and is responsible for deploying core ICT solutions to enterprises that drive a substantial part of the Nigerian economy. In this interview with Bukola Aroloye he speaks about what makes MTN Business tick, as well as its value offerings for the Nigerian business class. Excerpts: 

    Your division manages some of the more strategic services in the telecoms sector. Can you give us an insight into some of the things you do?

    MTN Business is the Enterprise Business Unit of MTN Nigeria and we are focused on delivering technology solutions that enable businesses and the public sector to efficiently optimize their operations and connection to their customers. Our focus markets include SMEs, Large corporates and the public sector.

    Our purpose as a business is to enable and inspire growth and we do this by providing innovative and customised solutions that help businesses reach more customers, serve these customers faster and better, and reduce cost, while at the same time maximizing profitability.

    So whether its connecting a bank’s head office to all its branches and ATMs nationwide via our expansive fibre-optic network, or hosting an oil firm’s critical seismic data in our Tier 3 data centre or providing a platform for SMEs to access affordable software from the MTN Cloud, to mention just a few, our solutions are designed to enable businesses serve their customers better and by so doing grow.

    How would you describe the level of investment made in the network to make it ready to provide solutions for modern businesses? How is MTN Business really geared up to support businesses?

    MTN has made considerable investment in its network over time and continues to invest in the technology; infrastructure and human resources necessary to deliver innovative technology solutions for the enterprise.

    Our Data Centre is an example. We have a Tier 3 certified data centre from where we deliver a broad range of platform services as well as co-location, hosting, disaster recovery and cloud services to customers across the different verticals.

    In line with our vision to be the choice ICT partner for geographic and market expansion, we made huge investments in being part of the WACS consortium. This has afforded MTN the opportunity to provide ultra-high speed connectivity and broadband services to locations beyond the shores of Nigeria.  In addition, we are able to deliver high speed broadband through our Fibre to the home/Office solution to gated and multi dwelling communities notably VGC Estate and 1004 Estate.

    These are just a few investments that have helped position us to serve our business customers better.

    SMEs are regarded as the bedrock of any strong economy, providing the quickest areas of growth. However, in Nigeria, it is one challenge after the other besetting SMEs. What are some of the initiatives you have introduced to help small and medium enterprises function better and more profitably, and how impactful have these initiatives been?

    SMEs are very dear to us in MTN and our goal has been singular: to provide the SMEs with technology solutions that are relevant, accessible, affordable and easy to use. Thinking in this manner has allowed us innovate and provide a broad range of SME-focused solutions that SMEs have found very useful. One of these solutions is the MTN Y’ello Directory. This is a business directory listing of over 300,000 SMEs in Nigeria. The service offers free listing to SMEs allowing them to be found by prospective buyers. Understanding the plight of SMEs not knowing how to go about getting and maintaining their own websites, we recently upgraded the MTN Y’ello Directory to allow SMEs also host mini sites within the directory as well as build a community for interaction and networking.

    This means SMEs can get their businesses on the web for free and have their prospective buyers reach them anytime from anywhere and at no cost at all. One of the other many SME-focused initiatives is MTN Y’ello Biz. This is a micro insurance service offered in collaboration with Mansard, targeted at shop owners and small office owners. For just N300 a week a shop owner can enjoy an insurance cover of over N1m. This cover protects the goods in the shop against fire or flood.

    Another area we have thought to focus on is the area of software as a service. Time was when a small business owner would have to spend a lot of money if he/she wanted to buy original software. This was accompanied by the complexity of hardware requirements and installation know-how. Today, we are able to provide Accounting, HR, Supply Chain and CRM software to SMEs over the Internet. The SME only needs to subscribe to the software on a monthly basis making it more affordable and yet less complex to use.

    Working in partnership with the Computer Warehouse Group, we have also built a core banking application platform for micro banking services (MTN XaaS). This is software as a service solution targeted at the Micro finance banks and co-operative societies to help ease the initial CAPEX required to start off as a bank. The microfinance banks provide a huge funding platform for the SMEs. Therefore enhancing their service delivery makes access to funds easier for the micro enterprise and enhances their contribution to the economy. These are just a few of the many initiatives we have deployed for the SMEs.

    There is still a lack of awareness on the benefits of cloud services as well as the mistaken perception that cloud computing is very expensive and beyond the reach of many businesses. How is MTN Business bridging these identified gaps? Is cloud computing for SMEs in Nigeria considering the fact that we are still battling with brick and mortar issues?

    The Cloud is a very interesting phenomenon. Simply put, cloud services relate to services that can be accessed over the Internet at anytime, from anywhere most of which are device agnostic. We understand that the more people understand the benefits the Cloud offers, the more adoption there will be.

    This was the reason behind the SME Forum we held in Q4, last year. The forum focused entirely on the Cloud services and how they benefit SMEs in practical use cases. It featured speakers from Government, an OEM and an SME. We shall be holding many more of such forums to further drive understanding of the service and its many benefits to SMEs.

    You have recently announced a partnership with Intarget to provide a robust mobile advertising service for businesses. What value is inherent in this service for business owners?

    Mobile advertising is an innovative new way brands and businesses can engage more directly and more cost efficiently with their prospects and customers. Since we launched MTN Mobile Ads a few years ago, we have continued to see increased interest in the service.

    To begin with, brands can now complement their traditional advertising with Mobile advertising which gives them more robust, measurable marketing campaigns. This is basically because brands and companies can direct their adverts to a pre-profiled audience given them a much higher conversion rate. Particularly for SMEs that don’t have the resources to fund lofty campaigns, this service holds the key.

    With access to our over 60million base and the ability to effectively profile and target accordingly, we are able to deliver the service via various channels.

    What is your vision for the Nigerian enterprise business landscape?

    Our vision for the Nigerian business landscape is platform on ICT, driving communication, collaboration and a network of economically viable business connections.

  • ‘How MTN denied ex-manager his entitlements’

    The National Industrial Court of Nigeria (NIC) has ordered a former Chief Executive Officer of MTN Nigeria Communications Limited, Mr. Adrian Wood, to appear before it and testify in a suit filed by MTN’s former Network Group Operation Manager, Mr. Paul Odunewu, an engineer.

    The court also issued a subpoena in respect of Mr. Sifiso Dabengwa, an expatriate staff of MTN based on South Africa.

    Odunewu is demanding N1.8billion for alleged wrongful termination of his contract by telecommunication firm.

    MTN Group Limited, South Africa, MTN Nigeria and MTN International, Mauritius are the other defendants.

    He accused the company of withholding his entitlements, including a share option worth over $13.14 million (about N2.1 billion).

    A former Chief Technical Officer of MTN Nigeria, Mr. Ademola Eleso, while testifying at the trial, accused MTN of deceiving its workers.

    He said MTN lured Odunewu, a renowned telecoms engineer based abroad, to work for it in Nigeria, promising to make him a shareholder, only to end up withdrawing the offer.

    Eleso said he hired Odunewu on MTN’s behalf.

    He told MTN’s Human Resources Department that for Odunewu to be happy to join the company and stay, he should be entitled to long-term incentive package. The witness said he also told Odunewu that his position would be key.

    According to him, in the early days of MTN’s operations in Nigeria, there was a “strategic move” to employ high cadre candidates who would help the company grow in all facets.

    “I was asked to help source for such people and make sure they come to MTN Nigeria and not Econet because of competition,” he said.
