  • NCC halts Visafone acquisition by MTN

    The Nigerian Communications Commission, NCC, on Monday waded into the acquisition of Visafone by South African mobile giant MTN, saying the acquisition cannot be done without a public inquiry to enable stakeholders determine the future of Visafone in the overall interest of the industry.

    The decision of the NCC to halt the acquisition followed a heated debate on the matter by representatives of major telecommunications companies in the country who made presentations during the stakeholders meeting at the NCC headquarters in Abuja.

    The major industrial players present at the meeting were MTN Nigeria, Airtel Nigeria Limited, Glo Mobile Nigeria, 9Mobile Nigeria Limited and other telecommunication outfits.

    The Executive Vice Chairman of the NCC, Professor Umar Garba Danbatta, said the NCC as a regulatory body for the industry considered it imperative to hold the public inquiry to give room for active participation and deliberations that would facilitate informed decision on the issue.

    He drew the attention of stakeholders to the enabling law which empowers NCC to take decision on the transfer of license and resources, including the 800MHz Spectrum from Visafone Communications Limited to MTN Nigeria Communications Limited. Prof. Danbatta said : “ The Commission seeks your active participation in the deliberations that would lead to an informed decision consistent with our mandate to create an enabling environment for effective competition in the industry as well as to ensure the provision of qualitative and efficient telecommunications services throughout the country.

    “As you may all be aware, the demand for Spectrum has increased due to emergence of disruptive innovations such as Mobile Broadband, Web Applications, Cloud Computing, Internet of Things (IOT) and the proliferation of smart devices among others. “Consequently, in order to reap the benefits of effective utilization of Spectrum as well as improve operational efficiency and regulatory excellence, the commission in accordance with its mandate as enshrined in the Nigerian Communications Acts NCA 2003 embarked on re-planning of some of its Frequency bands “Specifically in 2013 the commission re-planned the use of 800MTz band to accommodate technology development in the telecom industry and new Frequency Assignments were conveyed to the Operators according to their frequency holdings in the 800MHz band.

    “Visafone is one of such incumbents on the Spectrum that got 10MHz FDD Assignments. Subsequent to the re-planning of the band Visafone wrote to the Commission requesting for transfer of its license including the 800MHz Spectrum to MTN” However, during their presentations the representatives of Airtel and 9Mobile opposed the plan to transfer the License of Visafone to MTN , insisting that MTN already had over 38 percent of Spectrum holding in the industry.

    They argued that should the NCC concede to the transfer, the development would not only create a monopoly for MTN, but make competition difficult among industrial players while a lot of telecommunications companies would be permanently disadvantaged.

    But the representatives of MTN argued that the acquisition would promote more investment in the sector in line with government policy for the deployment of broadband infrastructures especially to the rural areas more so when the enabling laws were not contravened.

    BREAKING: Senate orders arrest of CEOs of Glo, Indomie, CCECC, 27 others

    The Senate Friday made good its threat to get the chief executive officers of 30 companies arrested for allegedly failing to appear before it.

    The arrest order was issued by the chairman of the Senate Committee on Customs, Excise and Tariff and Marine Transport Hope Uzodinma, at the committee’s meeting in Abuja yesterday.

    The committee accuses the companies including mobile giant Globacom, Crown Flour Mills, British American Tobacco, CCECC, Dana Group, Olam Int. Ltd., Hong Xing Steel Co. Ltd., Visafone, African Wire, Star Comments and Allied Ltd. and Aarti Steel Nig. Ltd of involvement in Nigeria’s loss of  N30 trillion-revenue in the maritime sector.

    Others are Abyem-Diva Int. Ltd., Gagasel Int., Friesland Campina, Etco Nig., Edic Chemicals and Allied Distributors, De United Foods makers of popular Indomie noodles, Don Climax Group, Skill G Nig. Ltd., Premium Seafood and La Rauf Nig. Ltd.

    Also involved are Standard Metallurgical Co. Ltd., Kam Industries, IBG Investment Ltd., Orazulike Trading Co. Ltd., Popular Foods Ltd., A-Kelnal Integrated & Logistics Services, African Industries, African Tiles & Ceramics and ZTE Nigeria.

    The News Agency of Nigeria (NAN) reported that only 33 of the 63 firms invited by the Senate Joint Committee on Customs, Excise and Tariff and Marine Transport, handling the investigation honoured the invitation.

    Uzodinma said yesterday that the refusal of the officials to honour the invitation in spite of several reminders was disrespectful to the National Assembly.

    He warned that the 8th Senate would not tolerate such behaviour from anyone or institution, particularly in the present situation involving Federal Government funds.

    He said investigations carried out by the joint committee showed several forms of infractions that have cost the country huge amount of money in revenue loss.

    He said such development in a country currently in recession was a disservice to it.

    “It is no longer going to be business as usual,” he said.

    “We have directed the Nigeria Police to arrest the heads of the firms and bring them before us.

    “If we can suspend our recess as lawmakers to see to the end of this investigation, I see no reason why the firms that have been indicted will not come to defend themselves,” he said.

    The chairman asked the firms that honoured the invitation to go through the documents given to them and return next week for defence.

    The Senate had mandated the joint committee to carry out extensive investigation into alleged N30 trillion revenue leakages in the import and export value chain between 2006 and 2017.

    The committee had already interfaced with commercial banks indicted in the matter as well as relevant government agencies.

    The committee had on Wednesday threatened to issue the arrest warrants; but on Thursday, it said it was extending the appearance till next week.

    The Nigerian Communications Commission (NCC) yesterday said it only granted  approval to Visafone’s application to transfer its shares to MTN and not its spectrum licence.

    It said what has been approved in the transaction is the 100 per cent shareholding while it is yet to meet and decide on the fate of the spectrum of the Code Division Multiple Access (CDMA) opeartor.

    A statement endorsed by its Director, Public Affairs, Tony Ojobo, expalined that the final approval to the changes in shareholding of Visafone Communications was taken on the strenght of Section 38 of the Nigerian Communications Act (NCA) 2003.

    Section 38 of the Act states that “the grant of a licence shall be personal to the licencee and the licence shall not be operated by, assigned, sub-licenced or transferred to any other party unless the prior written approval of the Commission has been granted.”

    He said this is contrary to the speculation in a section of the media that the NCC had foreclosed the release of the spectrum held by Visafone to MTN.

    According to the regulator, this clarification has become necessary in order to allay the fears in some quarters that the frequency had been withheld by the Commission.

    Ojobo said:  “The Commission is yet to meet to take a decision on the application by Visafone to transfer its licence to MTN.  The NCC has only approved the shareholding structure by 100 per cent and not transfer of licence.

    “Specifically, Visafone Communications Limited with a Universal Access Service Licence (UASL) – deploying CDMA technology applied to the NCC for an approval to effect a change in its shareholding structure by transferring 100 per cent of its shares to MTN Nigeria.

    “Having met all the preliminary requirements for grant of approval for change in shareholding structure, the NCC in line with its established procedure granted an Approval-In-Principle to Visafone Communications Limited, subject to fulfilment of conditions to transfer 100 per cent of its shares to MTN Nigeria.

    “Having fulfilled the conditions stipulated in the “Approval-In-Principle”, the NCC, in line with its procedure granted a “Final-Approval” to Visafone for the change in its shareholding structure.

    “Thereafter, Visafone applied for approval to transfer its licence to MTN.  The NCC has written to Visafone, clearly stating that a decision was yet to be taken on the transfer of Visafone licence to MTN.”

  • Visafone: Court strikes out Etisalat’s suit against MTN

    The Federal High Court in Lagos on Thursday struck out a suit filed by Etisalat against MTN.

    The plaintiff challenged MTN’s use of the 800megahertz (MHZ) spectrum following its acquisition of Visafone.

    Etisalat said it considered the action necessary to prevent MTN’s use of the spectrum as it would entrench the defendant’s dominance in the data services market.

    The plaintiff said the use of the 800MHz spectrum to deploy broadband services ahead of its competitors, particularly those who prior to MTNs purchase of Visafone, held similar spectrum bands as MTN, would be to other telecos disadvantage.

    Justice Ibrahim Buba struck out the suit on the ground that the court lacks jurisdiction to entertain it.

    He held that the court cannot interfere with NCC’s regulatory duties.

    Leading Code Division and Multiple Access (CDMA) operator in Nigeria Visafone Communications Limited has hosted its subscribers to a special dinner at the Red Restaurant, Eko Hotels and Suites.

    Tagged: “Visafone Customer Appreciation Dinner,” the subscribers wined, dined and interacted with officials of Visafone.

    Head, Brands and Corporate Communications Mr. Joseph Ushigiale said the dinner was organised to appreciate the support of its subscribers.

    His words: “We are Nigeria’s foremost CDMA company and we realise the role of our subscribers in taking us to the top. We organised this Valentine dinner for our esteemed customers just to say thank you for their support to the Visafone brand through the years,” Ushigiale said.

    A Visafone subscriber, Mrs. Adeyemi, expressed her joy at being invited to the dinner party.

    Etisalat Nigeria has sued MTN Nigeria and Visafone Ltd, challenging MTN’s use of the 800megahertz (MHZ) spectrum following the acquisition of Visafone.

    MTN sued the Nigerian Communications Commission (NCC) over the imposition of N780billion fine on it by the regulator for harbouring some 5.2million pre-registered subscriber identity module (SIM) cards on its network in violation of extant rules.

    Etisalat said it considered the action necessary to prevent the use of the spectrum by MTN at this time, as it will entrench the dominance of MTN in the retail data services market.

    “You will recall that MTN Nigeria was declared dominant by the Nigerian Communications Commission (NCC) in 2013 and remains dominant in the wholesale leased line and retail voice markets.

    “The use of the 800MHz spectrum to deploy broadband services ahead of its competitors, particularly those who prior to MTNs purchase of Visafone, held similar spectrum bands as MTN, will further entrench MTN’s dominance in the Nigerian telecommunications sector,” Etisalat said in a statement confirmed by its Head of Media, Chineze Amanfo, yesterday.

    The telco said it had, in addition to the legal action and in line with Sec tion 86 of the Nigerian Communications Act, 2003, engaged the NCC to understand the basis of its decision to approve the acquisition. “As you are aware, the matter is already in court as such, we are restrained from commenting further on the matter,” the telco added.

    The acquisition of Visafone, the only Coded Multiple Division Access (CMDA), network in the country by MTN Nigeria is expected to bridge the digital divide in the area of internet access, reports Ibrahim Apekhade Yusuf

    IT is no longer news that MTN Nigeria acquired Visafone, hitherto owned by renowned banker and ICT philanthropist, Jim Ovia. Visafone, if you may, was the only Coded Multiple Division Access (CMDA), network in the country, offered a number of services including voice, high speed data internet and other value added services including providing business solutions to small and medium sized companies and corporate organisations in Nigeria.

     

    Road to acquisition

    It could be recalled that in 2013, the Nigerian Communications Commission (NCC), the industry regulator declared MTN dominant in both the retail mobile voice and wholesale leased line markets, following the 2013 Dominance Determination Report (DDR), to impose specific obligations meant to ensure it balances competitive behaviour and to ensure the sustenance of long term competition in the telecommunications industry.

    The NCC, however, failed to declare any operator dominant in the mobile data market, where MTN’s operation of Visafone network, should fall. Yet market watchers feel that the acquisition and possible access to valuable sub-1GHz spectrum to provide 4G services would be to the exclusion of other leading operators and may clearly give it an unfair advantage, which will be impossible to replicate in the short term by any operator.

    There had been speculations for months that MTN Nigeria, which controls 43 per cent of market share, with 61 million subscribers wanted to buyout Visafone but the telecoms company was not sure that the NCC, the industry regulator would make available Digital Dividend Spectrum for mobile operators in line with the recommendation of the International Telecommunications Union (ITU) by June 17, 2015.

    But MTN Nigeria finally got the nod of the NCC in late December 2015 to utilise Visafone’s 800MHz spectrum to launch fourth generation long term evolution (4GLTE) services.

     

    A best buy for MTN

    Market analysts had observed that one of the factors that informed MTN acquisition of Visafone was the planned launched of LTE by Globacom, which already acquired the 700 MHz from the NCC. That gives it the capability to do LTE. Globacom is the only other operator that has the licence on the 700 MHz spectrum; hence, it plans to launch LTE services.

    Many observers, therefore hold the view and very strongly too that MTN’s acquisitions of Visafone will give it access to 800 MHz spectrum band, which will enable it provide 4G LTE services and apparently place it in enviable position of being the only GSM operator with access to this spectrum.

    Under the plan, over two million existing Visafone subscribers will be migrated onto the MTN Nigeria network, a development that will now enable them use their voice and data services, anywhere where the latter has network coverage.

     

    Short and long term benefits of Visafone acquisition

    In the view of stakeholders in the telecoms industry, the acquisition is expected to provide MTN the robust voice and data platform of Visafone and cater for the booming internet population in Nigeria.

    In a statement made available to our correspondent by the management of MTN Nigeria, the telecoms giant said the acquisition of Visafone will bode well for the telecommunications sub sector both in the short, medium and long-term.

    According to MTN Executive, Amina Oyagbola, the acquisition which seeks to leverage resources for service enhancement is also reflective of our concerted efforts to deepen the growth and roll out of broadband services across the country in support of the National Broadband Plan for the benefit of Nigerians.

    Oyagbola said “We are committed to exploring avenues for meeting our customers’ increasing data needs in line with our vision ‘to lead the delivery of a bold new digital world to our customers’. As we work to maximise our data capabilities towards achieving broadband of international quality, our objective is to ensure that Nigerians experience a boost in the quality of broadband internet services translating to the much needed enhanced data speeds and value to enhance personal and business productivity.”

    Speaking further, she said, “The acquisition of Visafone highlights MTN’s commitment to Nigeria. More capacity will facilitate enhanced product/service offerings and experience in the data space to the delight of our valued customers. Voice is still King. However, data is becoming increasingly important in our everyday lives and our energies are focused on enhancing data and internet services to the benefit of our customers and the country at large.”

    Echoing similar sentiments, Casmir Okeke, a telecoms expert, “The acquisition is expected to ensure high quality data services and improve mobile broadband experience for subscribers of Visafone and MTN.”

    He said: “The merger is also expected to provide the much-needed relief to the booming internet economy by making available quality mobile broadband services adopting the state of the art 4G LTE technologies during the year.”

    With about 150 million mobile subscribers and about 97 million internet users, Nigeria ranks among the fastest growing countries in terms of mobile subscribers and data penetration.

    However, the vast majority of the 97 million internet users today are limited to narrow band internet at 2G/3G speed.

    Presently, majority of data users use 2G/3G technologies but it is estimated that LTE users will constitute 80 per cent of all data users by 2019.

    Availability of 4G LTE mobile broadband services on a national scale starting in 2016 is expected to act as a catalyst to many sectors of the economy like the booming e-Commerce sector, banking, insurance and financial services, software and IT enabled services, among others, and is likely to widen the revenue base of the federal government into non-oil sectors.

    Based on the national broadband plan of the federal government, the industry source explained that the aggressive launch of 4G LTE services by the merged entity of MTN and Visafone is also expected to drive the broadband penetration in the country from under 10 per cent to the targeted 30 per cent by 2018, and help meet the national broadband plan targets.

    The market consolidation with the acquisition of Visafone by MTN is the first its kind in the telecoms industry in Nigeria and has been given the thumbs up in the larger interest of the country and the economy.

     

    Is MTN on acquisition spree?

    It may be recalled that MTN Nigeria had reportedly acquired MTN Nigeria bought VGC Communications Limited (VGCCL) at $70 million (N9.3 billion). VGCCL was licensed by the NCC to provide cabling and radio, telephone services nationwide and had laid extensive fibre optic cables, and Internet service provision.

    VGC Communications was established in April 1995 with the primary objective of providing all the communications related services required by the resident of Victoria Garden City and Ikota Shopping Complex.

    This was seen as a proactive move by MTN to prepare itself for landline telephony services, especially as Glo has the licence and apparent capability to offer landline telephone service.

     

    Fear of monopoly

    While the statistics makes Visafone acquisition less surprising, the concern of industry observers seems not to be what the future holds for CDMA operation in the country, but what would become of the telecommunications sector when more power is added to the operators, who already had huge control of the market.

    Industry watchers believe that much as MTN buyout by Visafone is a welcomed development, it may lead to monopolistic hold by the telco.

    Specifically, they argued that 800 MHz spectrum band is characterised by the presence of sub-optimal licensees who have largely been inactive over the last 8 years. For the few who have remained active, their performance has been sub-optimal and most lack the financial capacity to deploy services and thus can hardly compete effectively.

    Besides, they said the regulator may want to re-farm the 800MHz spectrum to make it available for other operators to deploy services, considering that the current licence holders in the spectrum band have been unable to meet their roll-out obligations. Another reason is that the 700MHz band which is due for re-farming, in line with International Trade Union’s digital dividend objectives, is currently being held by the Broadcasting industry and may not be available for release before 2017.

    Sharing this sentiment, an industry player, Oscar Dubem, said while the deal may be healthy to salvage a dying CDMA sector, there could be reason to apply every caution in finally consummating it.

    According to Dubem, “while I will always give kudos to MTN for its giant strides in this economy in general, I am however concerned that should this acquisition give it access to sub 1GHz spectrum to the exclusion of other leading operators, it will therefore provide it with an unfair competitive advantage in the data market where it can easily deploy its size and profitability to further entrench dominance in the market.

    “This may stifle other late entrants and their ability to compete. Again, given that it has already been declared dominant in the transmission market, its ability to control both spectrum and access at prices they dictate to industry and consumers makes this an unhealthy state of affairs, and poses a grave threat to the viability of the industry.”

    This scenario, Dubem stressed, will potentially leave the sector with one dominant player in both the retail voice and data markets. “The Nigerian subscriber may ultimately pay for this in the form of higher tariffs, poor quality of service levels and little or no incentive for innovation due to the lack of competition in this market segment.”

    Babajide Henry, a consumer right advocate is also convinced that the acquisition deal poses a real threat to the viability of Nigeria’s telecommunication industry because of the possible emergence of a single dominant player in both the retail voice and data markets.

    According to him, on the long term, the Nigerian subscriber will pay for this in the form of higher tariffs, poor quality of service. He said incentive for innovation will be no more, while a bully service provider will emerge, due to lack of competition in the market.

     

    Divergent views

    Speaking to a cross-section of analysts on the propriety of the MTN deal, they said the motive was clearly for profit maximisation.

    “MTN Nigeria bought Visafone because they wanted to utilise Visafone NCC band allocation for most likely FDD/TDD 4G LTE services,” said Frank Onyewuna, an ICT vendor in Ikeja.

    Ms. Uju Stellamaris is also on the same page with Onyewuna.

    According to her, “Of course, MTN is in the GSM business, why buy a CDMA operator? It looks like they bought them like the earlier purchase of VGC com so as to ensure they remain dominant in telecoms, the workers should have known that the technologies are not compatible and so they will not be absorbed into MTN who had asked some of their staff to go earlier?”

    Timeline for operations

    The acquisition of Visafone by MTN Nigeria has not been without controversy. Among other things, there are fears that the former staff of Visafone were laid off following the completion of the deal for obvious reasons just as there is no word as to when it would commence operations of the 4G LTE services.

    Although there was no official statement by MTN management as regards the status of the former staff of Visafone, an inside source who asked not to be named because he was not authorised to speak for the company confided in The Nation that the company wants to reduce its risk exposure to a large extent.

    The management was however noncommittal when The Nation broached the subject about the proposed date for the commencement of the operations.

    Visafone workers inherited by MTN as a result of the acquisition of the code division multiple access (CDMA) operator are to be retrained so they have the requisite skills for engaging the new 4G or long term evolution (LTE) technology.

    Sector analysts say the acquisition is expected to provide the MTN a robust voice and data platform of Visafone and cater for booming internet population of the country.

    It was gathered that selected workers of Visafone are likely to commence the retraining immediately ahead of the launch of the new data service.

    MTN Executive, Ms. Amina Oyagbola, said the acquisition which seeks to leverage resources for service enhancement is also reflective of the telco’s concerted efforts to deepen the growth and roll out of broadband services across the country currently under 10 per cent to the targeted 30 per cent by 2018 of the National Broadband Plan (NBP) of the Federal Government. It will also help to realise other targets of the plan.

    Oyagbola said: “We are committed to exploring avenues for meeting our customers’ increasing data needs in line with our vision ‘to lead the delivery of a bold new digital world to our customers’.     The 4G LTE technology is particularly good for the country and economy because it will create conducive platform for enhanced product/service innovation which will ultimately lead to the creation of new jobs, the analysts added.

    Telecoms industry watchers have commended the Nigerian Communications Commission (NCC) for the hitch-free merger, adding that such should be encouraged. “This initiative is widely applauded as a major telecom industry landmark deal,” one of the analysts said.

    With the acquisition deal sealed, MTN is now expected to massively and aggressively leverage the CDMA pedigree of Visafone to roll out premium products that will usher in very good business opportunity for the carrier and Nigerians.

    This is expected to ensure a high quality data services and improve mobile broadband experience for subscribers of Visafone and MTN.

    The acquisition, they say,  is expected to provide the much-needed relief to the booming internet economy by making available quality mobile broadband services through the deployment of state of the art 4G LTE technologies during the year.

    With about 150 million mobile subscribers and about 97 million internet users, Nigeria ranks among the fastest growing countries in terms of mobile subscribers and internet penetration. However, majority of the 97 million internet users today are experiencing narrow band internet at 2G/3G speeds which is particularly frustrating.

    Subscribers decry Visafone’s poor data service

    Subscribers to the data service of leading code division multpile access (CDMA) operator Visafone are angry.

    They said the services offered by the telco were below standard.

    Some of the subscribers who gave their dongle subscriber identity module (SIM) numbers as 07046935910, 07046915503, 07026627997, 07046915504, 07046837132 complained that they have issue with speed and connection.

    They complained that since they chose the operator for data services, they have been paying for services not rendered.

    “I bought the modem to ease my work. Unfortunately, I have not got the ease I was looking for when I decided to buy the modem. I am very disappointed that nothing is being done to check the execesses of the operators that promise to do one thing or the other without keeping their promises,” Chukwu, a subscriber lamented.

    Another female subscriber said when she initially bought the modem, she was enjoying the services, adding that in the last seven months, the story has changed.

    “I do not know what to do. I am on the N6000 bundle plan but I rarely enjoy services that are valued at N1000. The frustration is immense. In the morning, the speed does not go beyond endurance threshold but as soon as it is approaching mid day, the speeed begins to go down and finally crashes,” she said.

    Others have started ditching the operator for global system for mobile (GSM) service providers. One of them, who simply identified himself as Emmanuel, said he has bought a new modem from one of the GSM operators. “Before this operator sacks me, I have gone to buy the modem of GSM operator. Each time I have issues with the CDMA modem, I try fruitlessly to call 400. That number scarcely works. Then, I resort to the customer care line which is 200 where I will be subjected to long conversation and music. My job does not wait on such frivolities, so the only option available for me is to opt out,” he said.

    Chairman, Association of Licensed Telecoms Companies of Nigeria (ALTON), Gbenga Adebayo, said subscribers should not be made to pay for data services not rendered. ALTON is the umbrella body to which all the telecoms operators belong. He insisted that charges should be based on actual consumption but not on expiry dates as is the common practice now.

    Efforts to get the management of the telco to react proved abortive as the email sent to its Chief Executive Officer, K. V. Srinivasa, was not replied. The only acknowledgement that was received came in form of a call from one Mr Lukman who wanted the identities of the modem owners listed above. Prodded to explain why it has been so, he argued that as a technical person, it was not within his mandate to speak to the press.

    Fire guts Visafone’s sales office

    A wild inferno yesterday gutted the national sales office of Visafone Communications Limited, the only thriving operator in the code division multiple access (CDMA) sub-sector of the telecoms sector.

    The fire, The Nation gathered, destroyed recharge cards, mobile phones, internet dongles and other valuables valued at several hundreds of millions of naira.

    The office is located at Saka Tinubu on the Lagos Island and it is used by the telco for its warehouse and its national sales office.

    Sources said the fire, which started about 12.20 pm at the company’s office was allegedly caused by electric spark.

    An eye witness said the fire was successfully put out by fire fighters who responded to distress call from Onikan Fire Station and Eti-Osa Fire Station, all of Lagos Fire Service.
