    Ndigbo rally at foundation launch

    Thousands were at the launch of a socio-cultural platform in Awka, the Anambra State capital reports CHRIS OJI

    The huge turnout and the enthusiasm of attendees may underline the thirst and hunger for credible regional leadership. Ohaneze Ndigbo, the apex socio-cultural organisation of all Igbo, was fractured for years and therefore could not rally the people until its factions recently agreed to speak with one voice.

    That probably explained the high spirits at the launch of the Osisioma Foundation in Awka, the Anambra State capital.

    A former governor of the state, Mr. Peter Obi, who spoke at the event, described the foundation as not only a blessing but also the vehicle that Ndigbo need to re-establish themselves as a world super power in commerce and education. He stated that Osisioma Foundation serves as a tool for the economic and political emancipation of Ndigbo, and enjoined the entire Igbo nation to support its cause.

    Addressing over 3000 participants at the 2016 re-union of members of Osisioma Foundation, he described the concept of Osisioma Foundation as unique and similar to those in America and other developed societies.

    He said, “I want to tell you that I am amazed with the crowd here, the huge attendance has signified that God has already blessed the mission and vision of Osisioma Foundation and its founder, Dr. Chike Obidigbo. Several foundations I know were established for political reasons, but the main objectives of Osisioma, from the documents available here, is to empower people, liberate our people from poverty and improve society as well as open up Anambra economy.

    He described Dr. Obidigbo as a rare gem in administration, commerce and industry.

    Speaking further, he said, “Because Dr. Chike Obidigbo, the founder of Osisioma Foundation has been involved in the manufacturing of several products and paying thousands of workers’ salaries, he is the best candidate that can govern Anambra State. To me and any right-thinking person, Dr. Obidigbo any day, any time, is very qualified to be Anambra State governor; let our people think positively.”

    Obi, however, re-assured the Willy Obiano administration of his support, adding, “Obiano’s success is my priority now even as we plan ahead”.

    Declaring the event open, the founder of Osisioma Foundation, Dr. Chike Obidigbo, stated that one of the mission statements of the organisation was to build an ideal society where peace and harmony, health and happiness of every citizen would be guaranteed.

    Obidigbo explained that Osisioma Foundation was also “committed to the economic, social and political development of our dear Anambra State, Nigeria and Ndigbo in particular”.

    He vowed to stand firmly against exclusivity in policy formulation and implementation, because according to him, “they represent modern forms of discrimination that feeds discontent, acrimony and voilence.

    “It is our belief that until everyone and every segment of the society is given a true sense of belonging and [is] captured in the scheme of things, the entrenchment of self-interest and bitter struggles for political power would continue, especially within our immediate environment, Anambra State.”

    Obidigbo who chairs Hardis and Dromedas, has his sights on 2017, calling on all men and women of conscience and goodwill, all their valued supporters and friends that have been clamouring for genuine change, to remain prayerful and unwavering as they jointly pursue the agenda of honest and quality leadership for the people of Anambra.

    Drawing from the Bible, the Osisioma Ndigbo, said, “Perhaps the Old Testament prophet Habakkuk had us in mind, when he declared: “The vision is yet for an appointed time, but at the end, it shall speak, and not lie: though, it tarry, wait for it, because it will surely come, It will not tarry. The just shall live by his faith”.

    In her paper, titled “Post-war trauma-a time to heal, the voice of a curious Igbo woman in the Diaspora,” a young Nigerian star in America, Miss Nkem Nwankpa, said that after leaving Nigeria as a teenager 18 years back, she began to romanticise the idea of returning to Africa, her sweet home.

    Miss Nwankpa, who noted that there was nothing as good as home, no matter the exploit of one in the diaspora, added that within the period, she would dream of her language with friends, eating her native foods, listening to local music being inspired by fashion and cultivating the land, but as an African living in the diaspora, she was guilty of not fully understanding the challenges of her people living on the continent, and she began to ask questions.

    The young girl from Iwolo Enugu State, however, observed that whenever she returned to her country, she always left with disappointment of the challenges of basic living, such as lack of running water, environmental waste, irregular power supply, bribery and corruption, the fear of armed robbers and kidnappers.

    According to Nwankpa, post-trauma stress disorder is a psychiatric disorder that can occur following the experience or witnessing of military combat, natural disasters, terrorist incidents physical or sexual assault in adult or childhood” in fact, I would like to ask that we take some time to access the effect of the trauma experienced by those who lived through it, fought in it, witnessed people get hurt and die during such a g horrific time and what we can do socially, economically and politically to make the changes we need to thrive as a society.

    Presenting his paper titled “towards the economic, social political emancipation of the Igbo nation”, a former commissioner for information in  Ebonyi State, Chief Abia Onyike, expressed with joy that despite the absence of any secondary school within the Igbo nation by 1900, Ndigbo had remained a force in Nigeria’s education industry. Chief Onyike disclosed that although Ndigbo got their first secondary school, the Methodist College, Uzuakoli, in 1923, they had produced world class citizens, prominent among them were Olauda Equiano, the great ex-slave writer, Dr. Nnamdi Azikwe, the acclaimed doyen of African nationalism, Chinua Achebe the father of African Literature, Sir Akanu Ibiam, one-time president of World Council of Churches and Cardinal Francis Arinze, one of the catholic cardinals in the world.

    The former commissioner went ahead to recall that Ndigbo also produced the first vice chancellor of the University of Ibadan, Prof. Kenneth Onwuka Dike and the first vice chancellor of the University of Lagos, Prof. Eni Njoku, as well as produced the first Nigerian economist, Prof. S.G Ikoku and first African to obtain PhD in Mathematics, Prof. Chike Obi.

    For Ndigbo to continue to flourish, Chief Onyike submitted a nine-point recommendation for the emancipation of Ndigbo.

    Papers were also presented by the chairman of Osisoma Foundation, Dr. Nnanna Egwu, Chief. Emeka Raphel Nwike, Chief Gilead Okolonkwo, Miss Felicity Okolo, a youth development expert, as well as other speakers. Former commissioner for Agriculture in Enugu state , Dr. Emma Nwankpa, Arch bishop Augustine Nwodika,, former deputy governor of Anambra state, Ichie Okwuchukwu Ezeaku, Igwe Roland Odegbo, the Ogbogu of Nteje and Rtd. Col Geoff  Onyejegbu, Chief Maxi Okwu, chief Ikechukwu Abana, Chief. Mrs Chika Ibeneme and several other dignitaries.

    Dangote to launch take-over bid for minority shares in Tiger Branded Consumer Goods

    Alhaji Aliko Dangote’s Dangote Industries Limited (DIL) may soon launch a mandatory takeover bid for minority shares in Tiger Branded Consumer Goods Company (TBCG) Plc.

    DIL last week concluded the acquisition of the majority equity stake in TBCG, formerly known as Dangote Flour Mills. DIL acquired 65.6 per cent majority equity stake in the former Dangote Flour Mills Plc, now rebranded TBCG from Tiger Brands Limited, the South African core investors.

    A cross deal for the transfer of more than 3.28 billion ordinary shares of 50 kobo each of TBCG from Tiger Brands Limited to DIL was struck last Monday at the NSE. The cross deal was struck through the negotiated cross deal window of the NSE at N1.24 per share. TBCG’s issued share capital currently stands at 5.0 billion shares, indicating that the transferred 3.28 billion shares represents 65.6 per cent of the current issued share capital.

    The latest acquisition increased DIL’s shareholding in DIL to more than 75 per cent. With this, DIL might be required to make a mandatory take-over bid to the remaining shareholders of TBCG in line with section 131 of the Investment and Securities Act (ISA) and Rule 445 of SEC’s Rules and Regulations.

    In the same circumstance, FBN Assurance, which had acquired 71.2 per cent equity stake in Oasis Insurance, had made a mandatory takeover bid for shares held by minority shareholders.

    According to SEC’s Rule 445, any investor that acquire more than 30 per cent of the shares of a quoted company through non-primary transactions would have to make a take-over bid to other shareholders.

    The rule states that “no person shall acquire, through a series of transactions or otherwise, more than 30 per cent of the shares of a public quoted company without making a bid.”

    Also, where an existing shareholder, together with other persons acting in concert, hold not less than 30 per cent but more than 50 per cent shares of a company acquires additional shares, such person or persons shall make a takeover bid to the other shareholders of the company.

    The rule however indicated exemptions to primary market transactions including private placement, rights issue and initial public offerings. Takeover bid will not apply where an ailing company undertakes a private placement which results in the strategic investor acquiring more than 30 per cent of the voting rights of the company.

    Also, exemption was granted in the case of an acquisition or holding of or entitlement to exercise or control the exercise of more than 30 per cent voting shares of a company by an allotment made in accordance with a proposal particulars of which were set out in a prospectus where the prospectus was the first prospectus for the initial public offer of voting shares issued by the company or the person who acquired the voting shares was a promoter in respect of the prospectus and the effect of the acquisition on the person’s voting power in the company has been disclosed in the prospectus and the prospectus has been registered with the Commission.

    Takeover bid will also not be required in an acquisition of shares or rights over shares which would not increase the percentage of the voting rights held by that person, such as an investor that takes up his entitlement under a fully underwritten rights issue. The rules also excluded convertible securities from the mandatory takeover bid provision.

    Dangote Group’s DIL had in 2012 sold 63.35 of its equity stake in DFM to Tiger Brands in a $181.9 million deal. The deal saw transfer of 3.17 billion ordinary shares out of Dangote Group’s 3.67 billion ordinary shares of 50 kobo each in DFM to the Tigers Brand. The deal then was approximately valued at more than N28 billion, according to prevailing exchange rate.

    After nearly four years of successive losses and impairing of assets, Tiger Brands reached agreement with DIL on December 11, 2015 to resell the troubled flour-milling company to DIL.

    The Nation had exclusively reported approval of the acquisition by Nigerian and South Africa authorities. Sources had confirmed to The Nation that the Securities and Exchange Commission (SEC), Nigeria’s apex capital market regulator; Nigerian Stock Exchange (NSE), where TBCG is listed and all necessary South African regulatory agencies had approved the acquisition deal.

    The Nation had reported that the transfer of the shares of TBCG from Tiger Brands to DIL would soon be done through the negotiated cross over window of the Nigerian Stock Exchange (NSE). The transfer of shares would subsequently be followed by the return of the company to its former name, which many stakeholders consider to be a stronger brand than the current name. The Dangote Group is the most capitalised quoted business group in Nigeria with four major companies including Dangote Cement, cement; Nascon Allied Industry, salt; Dangote Sugar Refinery, sugar; and TBCG, flour. It has several unquoted subsidiaries that are involved oil and gas, telecommunications, fruit drinks and transportation among others.

    The Nation had in late December 2015 also exclusively reported the details of the acquisition deal. Under the deal, Tiger Brands Limited, South Africa’s largest food company, would divest its shareholding to Dangote Industries Limited (DIL), the holding company of Africa’s richest man, Alhaji Aliko Dangote.

    A report obtained by The Nation, which outlined the key details of the Share Sale Purchase Agreement (SSPA), indicated that Tiger Brands will transfer and sell its 65.66 per cent majority equity stake in TBCG to DIL for a nominal consideration of $1. The South African majority core investor will also absorb N15.76 billion in debts.

    It was the first report to outline the key financial considerations of the acquisition. TBCG has 5.0 billion ordinary shares of 50 kobo each with market capitalisation of about N5.9 billion.

    In consideration for the transfer of the 65.66 per cent equity stake to DIL, DIL will inject N10 billion in form of a convertible shareholder’s loan into TBCG in January 2016. The convertible loan implies that DIL, at its option, will automatically have higher majority equity stake whenever it decides to exercise its convertible option.

    “Tiger Brands Limited will transfer/sell its shares (3,283,277,052) to Dangote Industries Limited for a nominal amount ($1) in consideration for Dangote Industries Limited injecting N10 billion in January in the form of a convertible (at lender’s option) shareholders’ loan,” according to the report.

    Besides, “Tiger Brands Limited’s loan to TBCG of N10.25 billion will be extinguished by way of debt forgiveness to the company” and “Tiger Brands Limited will assume the Stanbic IBTC debt of N5.51 billion and pay up the outstanding amount due to the bank”.

    DIL has already given a guarantee of its continued financial support to TBCG for at least 12 months to stave off threats of liquidation facing the company.

    External auditors to TBCG- Akintola Williams Deloitte, had expressed worries that accumulated losses and continuing decline in operational performance that had wiped out shareholders’ funds could threaten the survival of the ailing flour-milling company.

    In the latest audit of the group, the external auditors noted that the group had accumulated losses of N23.1 billion and a negative equity of N3.1 billion by the year ended September 30, 2015. “These conditions indicate the existence of a material uncertainty which may cast doubt on the Group’s ability to continue as a going concern,” the audit report stated.

    Key extracts of the audited report and accounts of TBCG for the year ended September 30, 2015 showed that the group recorded a net loss after tax of N12.68 billion in 2015, a double on a net loss of N6.28 billion recorded in comparable period of 2014. Turnover had increased from N41.27 billion in 2014 to N48.03 billion. Gross profit also rose from N3.21 billion to N4.47 billion. But a combination of interest expenses, related party expenses and administrative costs continued to undermine the company’s performance.

    THE Federal Government will soon launch “a massive national orientation campaign as part of efforts to drive the change agenda”, Information and Culture Minister Alhaji Lai Mohammed said yesterday.

    He spoke when Kaduna State Governor Nasir El-Rufai visited him in his office.

    The minister said his vision was to leverage on using the  power of information and culture to drive Buhari administration’s change agenda and ensure that the citizens take ownership.

    This, Mohammed said, would enable Nigerians achieve a paradigm shift in the way they do things.

    He hoped that the Kaduna State government would collaborate with the ministry to ensure a successful campaign.

    The minister, who said he was “excited’ at El-Rufai’s visit, called him “one of our brightest and most courageous”.

    He was confident in the ability of the governor to make Kaduna one of the country’s best states.

    El-Rufai described the minister as “an experienced information manager, a dogged-fighter and a dedicated nationalist, who is committed to the advancement of Nigeria’s interests”.

    He noted that they  struggled together in the All Progressives Congress (APC) during which “he (the minister) was abducted once, just like I was arrested twice by the same people”.

    The governor said he visited the minister to wish him well and to let him know that the thoughts and prayers of the people of Kaduna State were with him.

    El-Rufai urged the citizens to support the President and his team in their quest to get the nation out of the woods, which, he said, it had been consigned by the previous administration.

    The National Working Committee (NWC) of the All Progressives Congress (APC) will today storm Lokoja, the Kogi State capital, to commence the party’s governorship campaign rally.

    Vice President Yemi Osinbajo (SAN) is expected to lead the APC governorship campaign to Kogi in the absence of President Muhammadu Buhari who is away on official assignment in India.

    APC National Chairman, Chief John Odigie-Oyegun, the APC governor and other top party chieftains are also expected to officially kick off the Prince Abubakar Audu APC governorship campaign rally in Kogi.

    Leader of the 20-man All Progressives Congress (APC) National Election Committee for the Kogi State gubernatorial election campaign, Alhaji Sani Abubakar Bello, will on Friday arrive in the state capital, Lokoja.

    Chief John Odigie-Oyegun had three weeks ago inaugurated the APC 20-member National Election Committee, headed by the Niger State governor, Alhaji Abubakar Sani Bello, at the party national secretariat in Abuja, charging them to deliver Kogi from the hands of the opposition Peoples Democratic Party (PDP) in the state.

    Oyegun said the Kogi governorship election must be won to confirm that the party’s winning streak in the last general election was not a fluke.

    “We have an enormous task ahead of us. All hands must be on deck to ensure that our party carries the day on the November 21 governorship election date in Kogi State,” he was quoted to have said.

    Other members of the APC National Election Committee to Kogi include governors of the middle belt states and the party’s National Deputy Chairman (North Central) as well as APC governors from the North Central region, who have been charged to evolve a winning formula for the party in the forthcoming election.

    Daniel Isah (Prof.), the Director General of the Prince Abubakar Audu Governorship Campaign Organisation, is also part of the APC National Election Committee to Kogi as Secretary General.

    RECORD label executive, Lanre Dabiri, aka El Dee, is currently putting things in place to find an end to the imbroglio between broadcasters and content owners in Nigeria with launch of a new software named Playdata.

    Slated for November, Kingsley Offor, Co-founder, and Chief Marketing Officer of Playdata; a cloud based broadcast monitoring software solution said that the application was created to solve a challenging problem facing content producers; whether musicians or advertising agencies.

    Speaking to The Nation about the app, Offor said that radio and television broadcast stations in Nigeria, and indeed globally, face the challenge of providing logs of content used and adequately addressing this will help to adequately monetise what plays on those mediums.

    The app, he said, is meant for artistes, everyone who is part of the content ownership process, advertisers, and broadcasters.

    Offor said; “anyone who has created content wants it to play on the radio, or television. When that happens, the creator should not be the last to know. People spend millions to create advertising campaigns, yet have no idea if they aired or not, neither were there means of tracking who played what, when, and how often. What most companies do is pay people to listen to the radio, and then log each time the content is played. Playdata listens to the radio twenty four hours daily, fingerprints your content as soon as it is uploaded to our computers, and logs the number of times played”.

    On the other hand, he adds, broadcasters need to figure out how to pay content owners, or at least the collecting organisations. “The challenge facing the creators, and broadcasters alike is, even when the money is collected, no one knows how many times the song was played, meaning there is no formula to use in paying out money as there are no statistics . That is the vacuum we are here to fill,” Offor stated.

    Fayose, others hail cleric at book launch

    Encomiums came the way of Reverend Kunle Salami, the Senior Pastor of Chapel of His Glory with headquarters in Ado-Ekiti, the Ekiti State capital as he launched three books.

    The three books he unveiled were How to Become Wiser, Effective Leadership and How to Manifest Greatness.

    Reverend Salami, former chairman of the Pentecostal Fellowship of Nigeria (PFN), had written 10 books before the launch of the three current ones.

    Governor Ayo Fayose described Salami as a “man of integrity, humility and a mentor in all ramifications.”

    The governor, who was represented by the Government House Chaplain who also doubles as Special Adviser on Religious Matters to the Governor, Pastor Seyi Olusola, also described Salami as “an exceptional minister of the New Testament.”

    “Reverend Salami is always available anytime we need his assistance and we pray to God to continue to strengthen him, empower him, energise him, influence him and organise him,” he said.

    Other dignitaries who attended the book launch were the Ewi of Ado-Ekiti, Oba Adeyemo Adejugbe represented by the Odole of Ado-Ekiti, Chief Bayo Ogunmodimu; wife of the Deputy Governor, Mrs. Janet Olusola; Deputy Vice-Chancellor, Ekiti State University, Prof. Ibiyinka Ogunlade; General Secretary of the state chapter of the PFN, Reverend Tunde Afe and other Christian ministers.

    Oba Adejugbe described Reverend Salami as a man of substance whose impact has been felt within and outside Ekiti State.

    The guest minister, Reverend Sunday Akingbelure, told the congregation that he had known the author since 1982 when they met at the Obafemi Awolowo University (OAU), Ile-Ife.

    He described the author as a diligent man of God who has served in the Lord’s vineyard with enthusiasm. He urged the younger generation to look up to him as a role model.

    Akingbelure urged the congregation to avail themselves of the opportunity the books offered to develop themselves spiritually and help their destiny to fulfil God’s plan in their lives.

    The book reviewer, Prof. Bayo Oloyede, who is the Senior Pastor of the Restoration Prayer Ministries, gave glory to God for what he has done in the life and ministry of Reverend Salami.

    He narrated how he also came in contact with the author at OAU, Ile-Ife, describing him (Salami) as a “dynamic teacher who is passionate about the Word of God and dedicated to building lives”.

    Oloyede said Salami excelled in various leadership positions he occupied, including the chairmanship of PFN.

    “Dr. Salami is a team leader, and, under his teaching and prophetic pronouncements, he has imparted greatness to his generation. He is a helper, encourager, a lifter and an apostle of our time.

    “He is worth listening to and his books are worth reading. This presentation is worth celebrating,” Oloyede stated.

    The first book, How to Become Wiser has 133 pages and 14 chapters while the second book, Effective Leadership comprises 161 pages divided into 26 chapters. The last one, How to Manifest Greatness has 141 pages and has 12 chapters.

    Salami said he was inspired to write the books because of demand from places he had been privileged to minister at home and abroad.

    He said he had been involved in leadership training since 1994, saying there was need to document the ministrations so that posterity would have opportunity of being blessed by them.

    The ex-PFN boss said he got the draft of his first book when he was the Bible Study Secretary of Evangelical Christian Union in Ado-Ekiti and didn’t publish it until 10 years after.

    He also said the books were parts of his contributions toward adding value to the lives of the readers and to make them fulfil their God-given destiny.

    A book “Imaging the Nigeria Police: A Public Perception” written in honour of an Assistant Commissioner of Police, Mrs. Sybil Olufunmilayo Akinfenwa, will be presented tomorrow.

    The event, which will take place at Trenchard Hall, University of Ibadan, will be chaired by Aare Afe Babalola. Inspector General of Police Solomon Arase is the chief host.

    Oyo State Governor Abiola Ajimobi is the special guest of honour.

    Chief Kola Daisi and Alhaja Sarat Adeola Adesina are father and mother of the day.

    Chief Adejare Adegoke is the Chief Launcher while Prof. Oyesoji Aremu of the Guardian and Counselling Department will review the book.

  • Odukoya’s wife’s book for launch

    Nomthi, the South African wife of Taiwo Odukoya, the Senior Pastor of Fountain of Life Church, Lagos, will today launch her book titled ‘Funda Wazi’ (a bully is not a hero).

    The book, according to the author, is a capacity-building mechanism on how children, guardians, parents and care-givers can protect kids against bullies.

    Nomthi, who coordinates her Non-Governmental Organisation (NGO) to tackle abuses and other challenges facing children, said the book will ‘teach, guide and protect children so they can grow to be responsible and balanced adults’.

    She said Funda Wazi, which means Learn and Know in her Zulu tongue, will be involved in activities aimed at protecting the right and dignity of children.

    Mrs. Odukoya said she was particularly concerned that child abuse is assuming a dangerous trend in the society.

    The situation, she said, “must be arrested to ensure the physical, social, emotional and mental wellbeing of our future leaders.”

    The NGO, according to her, will engage in advocacy and seek to influence policies, practices and processes that affect children.

    Children-friendly resources, Nomthi added, will be produced to increase the capacity of children and the society to defend them.

    Lagos State Governor, Mr. Babatunde Fashola will tomorrow present a book written by legal icon and former Federal Commissioner for Works and Housing, Alhaji Femi Okunnu in Lagos.

    According to a statement by the publisher, “Contemporary State Land Matters in Nigeria: The Case of Lagos” is the third edition.

    The ceremony will hold at the Metropolitan Club, 15, Kofo Abayomi Street, Victoria Island.

    Flying Eagles to launch Nike kits at U-20 World Cup

    Africanchampions Flying Eagles are most likely to launch the kits from expected new sponsors Nike at the FIFA U-20 World Cup in New Zealand, AfricanFootball.com has reliably gathered.

    Nigeria have ended their partnership with Adidas and NFF marketing director Idris Adama said on an Abuja radio interview Wednesday the country will soon announced a new kit sponsor.

    The Flying Eagles wore adidas kits when they won the 2015 African Youth Championship. But they are now most likely to be the first beneficiaries of the new kits, widely believed to be those of Nike, who at a time had kitted Nigeria’s various national teams.

    The Nigeria will begin their quest for the FIFA U-20 World Cup on June 2 when they face Brazil in New Plymouth, New Zealand.
